Renewal of Share Buyback Programme and Trading Update
The Board of AdvancedAdvT Limited (AIM: ADVT) (the "Company") today announces the launch of a further share buyback programme (the "New Buyback Programme") to purchase up to £10 million of the Company's ordinary shares of no par value ("Ordinary Shares"), following the successful completion of the initial programme announced on 4 March 2026.
Current Trading
The Board confirms that trading for the six months ended 31 August 2026 wasin line with management expectations. The Company will provide a trading update for the first half in early October and will announce its interim results in the week of 2 November.
Completed Buyback Programme
Under the initial buyback programme launched on 4 March 2026, the Company acquired6,148,953Ordinary Shares at a weighted average price of162.63pence per share, for total consideration of£10.0 million. The shares acquired are held in treasury.
New Buyback Programme
The Board continues to believe that the current market price of the Ordinary Shares does not fully reflect the intrinsic value of the Group's software operations, and that a further buyback programme represents an attractive use of the Company's capital at current price levels.
The Company has re-appointed Singer Capital Markets Securities Limited ("Singer Capital Markets") to execute and manage the New Buyback Programme and has given an irrevocable instruction for Singer Capital Markets to undertake market purchases on its behalf for a period of 12 months from the date of this announcement. All trading decisions will be taken independently of the Company.
The New Buyback Programme permits the purchase of up to £10 million of Ordinary Shares, with the maximum price payable being no more than 5 per cent. above the average middle market quotation for the five business days immediately preceding the date of any repurchase. The Directors have confirmed that neither they nor persons connected with them intend to sell Ordinary Shares to the Company during the programme. There is no guarantee that the New Buyback Programme will be implemented in full or that any purchases will be made.
Any Ordinary Shares acquired under the New Buyback Programme may be held in treasury and used to satisfy future obligations under the Group's employee share schemes or as consideration for future acquisitions, providing the Group with additional flexibility in the execution of its strategy. Alternatively, they may be cancelled.
Return of Capital
The Board continues to consider a further substantial return of capital to shareholders, as set out in the announcement of 4 March 2026. The New Buyback Programme announced today reflects the Board's assessment that on-market share purchases at current price levels represent an attractive use of capital in the near term and does not preclude further returns of capital in due course. The Board will update shareholders as and when appropriate.
Strategy
The Board remains focused on disciplined capital allocation. The Group continues to see an attractive and active pipeline of bolt-on acquisition opportunities and expects to continue deploying capital into value-accretive transactions. As an AIM-quoted company, the Group also retains the ability to access the equity capital markets should a larger opportunity arise.
