Settlement Notification - Regulatory Approval of Coop Norge's recommended cash offer to the shareholders of MatvareExpressen

Reference is made to the stock exchange announcement dated 15 June 2026 regarding the recommended voluntary cash offer (the "Offer") by Coop Norge SA ("Coop Norge" or the "Offeror") to the shareholders of MatvareExpressen AS (the "Company") and the commencement of the acceptance period under the Offer (the "Offer Period"). Reference is further made to the announcement dated 23 June 2026 regarding the satisfaction of the 90 % minimum acceptance condition for the Offer and the announcement dated 30 June 2026 regarding the preliminary result of the Offer.

The Offeror hereby announces receipt of clearance from the Norwegian Competition Authority (Nw. "Konkurransetilsynet") for the acquisition of 100% of the shares in the Company. The closing condition for the Offer, "Regulatory Approval", as further set out under section 1.3 ("Offer Conditions") and 2.5 ("Regulatory Approval") of the offer document dated 15 June 2026 (the "Offer Document"), has accordingly been satisfied.

Settlement of the Offer will take place no later than 22 July 2026, which is 10 business days following the date hereof, subject to the following closing conditions as set out in the Offer Document, remaining satisfied or having been waived by the Offeror until settlement of the Offer: * that the Company's board of directors has not amended, modified or withdrawn its recommendation of the Offer; * that there has been no breach of the Company's obligation to conduct its business in the ordinary course; * that no Material Adverse Change has occurred and that there has been no material breach of the transaction agreement by the Company; and * that no relevant legal proceedings have been instituted or threatened in connection with the Offer.
