RULING BY THE COURT OF FLORENCE ON INTERIM MEASURES IN
THE PROCEEDINGS UNDER ARTICLE 44 OF CCII
WITHDRAWAL OF THE INTERIM MEASURES GRANTED WITHOUT
HEARING THE OTHER PARTY IN RESPECT OF THE SHIPOWNERS
AND GUARANTORS – CONFIRMATION, WITH AMENDMENTS, OF THE
MEASURE TO PROTECT STRATEGIC SUPPLIERS FOR CONTRACTS
CURRENTLY BEING COMPLETED
TISG, HAVING TAKEN NOTE OF THE COURT’S ORDER, CONFIRMS
THAT THE PLAN WILL REMAIN UNCHANGED
Marina di Carrara, Carrara, 29 July 2026 - The Italian Sea Group S.p.A. (“TISG ” or the “Company ”), a company whose shares are listed on Euronext Milan, announces that, today, the Court of Florence – Civil Section V, in the context of proceedings pursuant to Article 44 of CCII , has issued an order revoking the interim measures granted ex parte by order of 6 July 2026, whilst also adopting an amended interim measure to protect strategic suppliers involved in contracts currently being completed .
In particular, the Court revoked the interim measures preventing counterparties from exercising contractual self -help remedies and the injunction against the enforcement of guarantees against shipowners, as well as the prohibition preventing guarantors from making payments under guarantees that had been called upon .
The Court held that, in light of the subsequent change to the structure of the draft restructuring plan – which does not provide for the continuation of work on the majority of contracts – the aforementioned interim measures fail to meet the requirement of being instrumental to the chosen crisis resolution mechanism .
The Court has, however, ordered a precautionary measure to protect strategic suppliers involved in the contracts that the Company intends to complete, providing that the relevant payments are made directly by TISG to the suppliers themselves, without preju dice to the factoring companies’ right to the receivables, until agreements of a similar nature are reached with the latter. This measure is intended to ensure the continuation and completion of the aforementioned contracts, which are deemed profitable within the framework of the draft plan .

It should be noted that today’s order does not affect the protective measures confirmed by the previous order of 6 July 2026, which remain in force in accordance with the terms and procedures set out therein .
Having taken note of the Court’s order, the Company will proceed as swiftly as possible with the preparation of the restructuring plan pursuant to Article 64 -bis of the CCII, in accordance with the guidelines already set out – which will not be subject to any changes or amendments – or with any other crisis management instrument deemed more appropriate .
