Riesling Ventures AB has obtained all necessary regulatory approvals for the recommended cash offer to the shareholders of Viva Wine Group AB

On 29 June 2026, Late Harvest Wine Holding 1971 AB^[1], Vin & Vind AB^[2] and Legendum Capital AB^[3] (together, the "Consortium"), acting through Riesling Ventures AB^[4] (the "Offeror"), announced a recommended public offer to the shareholders of Viva Wine Group AB ("Viva Wine Group") to tender all shares^[5] in Viva Wine Group to the Offeror (the "Offer"). An offer document relating to the Offer was made public on 30 July 2026 (the "Offer Document") and a supplement to the Offer Document was made public on 20 August 2026. Today, the Offeror announces that all necessary regulatory approvals for the Offer have been received and that this condition for completion of the Offer has been satisfied.

The Offeror has today received the final regulatory approval necessary for the Offer and the acquisition of Viva Wine Group. The Offeror has thereby received all necessary regulatory, governmental or similar clearances, approvals, decisions and other actions from authorities or similar, including from competition authorities. Accordingly, this condition for completion of the Offer has been satisfied. All other conditions for completion of the Offer are still applicable to the Offer as set forth in the Offer Document made public on 30 July 2026.

The acceptance period for the Offer commenced on 31 July 2026 and ends on 28 August 2026 at 17.00 CEST. Settlement is expected to be initiated on or around 4 September 2026.

The Offeror has reserved the right to shorten the acceptance period and set an earlier settlement date as well as to extend the acceptance period and postpone the settlement date to the extent permissible under applicable laws and regulations. Any such change of the acceptance period or settlement date will be announced by the Offeror by means of a press release in accordance with applicable laws and regulations.
