Riesling Ventures AB announces the final outcome in the offer to the shareholders of Viva Wine Group AB

14 September 2026

On 29 June 2026, Late Harvest Wine Holding 1971 AB^[1], Vin & Vind AB^[2] and Legendum Capital AB^[3] (together, the "Consortium"), acting through Riesling Ventures AB^[4] (the "Offeror"), announced a recommended public offer to the shareholders of Viva Wine Group AB ("Viva Wine Group") to tender all shares^[5] in Viva Wine Group to the Offeror (the "Offer"). On 31 August 2026, the Offeror declared the Offer unconditional, announced that it would complete the Offer and extended the acceptance period up to and including 11 September 2026.

The Offer is now closed. The shares tendered in the Offer during the extended acceptance period which ended on 11 September 2026, amount to 152,541 shares in Viva Wine Group, corresponding to approximately 0.2 percent of the share capital and votes in Viva Wine Group. The total number of shares tendered in the Offer at the end of the extended acceptance period amounts to 30,268,136 shares in Viva Wine Group, corresponding to approximately 33.8 percent of the share capital and votes in Viva Wine Group. On 2 September 2026, the Offeror announced that after the announcement of the outcome of the Offer on 31 August 2026, the Offeror had also acquired 2,866,199 shares in Viva Wine Group outside the Offer, corresponding to approximately 3.2 percent of the share capital and votes in Viva Wine Group. No acquisitions were made at a price that exceeds the consideration in the Offer.

Following the closing of the Offer, the Offeror holds and controls in aggregate 89,412,188 shares in Viva Wine Group, corresponding to approximately 99.8 percent of the share capital and votes in Viva Wine Group (including the 56,277,853 shares in Viva Wine Group that the Consortium already held and controlled and that are contributed to the Offeror, corresponding to 62.8 percent of the share capital and votes in Viva Wine Group).

Settlement for shares tendered in the Offer during the extended acceptance period which ended on 11 September 2026 will take place on or around 18 September 2026. The Offeror has reserved the right to set an earlier settlement date as well as to postpone the settlement date to the extent permissible under applicable laws and regulations. Any such change of the settlement date will be announced by the Offeror by means of a press release in accordance with applicable laws and regulations.

Except as set out above, neither the Offeror nor any member of the Consortium nor any of their closely related companies or closely related parties held or controlled any shares in Viva Wine Group, or any financial instruments that give financial exposure equivalent to holding shares in Viva Wine Group, at the time of the announcement of the Offer. Furthermore, neither the Offeror nor any member of the Consortium nor any of their closely related companies or closely related parties have acquired or agreed to acquire, any shares in Viva Wine Group at a price that exceeds the consideration in the Offer, or any other financial instruments in Viva Wine Group that give financial exposure equivalent to holding shares in Viva Wine Group, outside the Offer.

Since the Offer is unconditional, shareholders who have accepted the Offer have no right to withdraw their acceptances.

The Offeror has commenced compulsory redemption proceedings under the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)) to acquire all remaining shares in Viva Wine Group. Furthermore, the board of directors of Viva Wine Group has on 4 September 2026, in accordance with the Offeror's request, applied for delisting of Viva Wine Group's shares from Nasdaq Stockholm. The last day of trading of Viva Wine Group's shares on Nasdaq Stockholm is on 22 September 2026.
