Result of Annual General Meeting 2026 - Update Statement
Fevara plc (LSE: FVA), the international specialist in livestock supplements, provides the following update in accordance with Provision 4 of the UK Corporate Governance Code in respect of the shareholder vote against at the Company's Annual General Meeting ("AGM") held on 11 February 2026.
As announced on 12 February 2026, all resolutions were duly passed at the AGM. However, the Board noted that Resolution 6, regarding the re-election of Gillian Watson as a Non-Executive Director, received 39.26% of votes against.
Following the AGM, the Company undertook engagement with a limited number of shareholders, including certain shareholders who voted against the resolution, to understand the reasons for the dissent. Despite limited response from the shareholders approached, the Board believes that the principal concern related to Ms Watson's being unable to attend two late scheduled Board meetings during the financial year. The Board believes that, while the absences are always regrettable, they do not give rise to any concerns regarding Ms Watson's overall commitment or effectiveness, and that she continues to make a valuable contribution to the Board.
The Board remains committed to maintaining an open and constructive dialogue with shareholders and will continue to engage, where appropriate, on governance matters. Further disclosure will be provided in the Company's next Annual Report.
