3/10 Signori Azionisti, la presente relazione illustrativa (la “Relazione Illustrativa ”) è stata predisposta dal Consiglio di Amministrazione di Banca Sistema S.p.A. (“ Banca Sistema” o la “Società ”) ai sensi dell’art.
125-ter del D.lgs. 24 febbraio 1998, n. 58, come successivamente modificato e integrato (il “TUF”), nonché dell’art. 72 del Regolamento adottato da Consob con delibera n. 11971 del 14 maggio 1999 , come successivamente modificato e integrato (il “Regolamento Emittenti ”), al fine di sottoporre all’approvazione del l’Assemblea della Società , convocata in sede straordinaria il 12 ottobre 2026, in unica convocazione, la proposta di (i) modificare l’art. 5 dello Statuto al fine di inserire la possibilità per l’assemblea di attribuire al Consiglio di Amministrazione, ai sensi dell’art. 2443, commi 1 e 2 del Codice Civile, la facoltà di aumentare, in una o più volte e anche per tranche , il capitale sociale fino ad un ammontare determinato e per un periodo massimo di cinque anni dalla data della deliberazione, anche con esclusione o limitazione del diritto di opzione ; nonché (ii) attribuire al Consiglio di Amministrazione , ai sensi dell’art. 2443, del Codice Civile, una delega (la “Delega ”) ad aumentare il capitale sociale a pagamento , in una o più volte e anche per tranche, in via scindibile, nel rispetto del diritto di opzione ai sensi dell’art. 2441 del Codice Civile, ovvero anche con esclusione del diritto di opzione ai sensi dell’art. 2441, commi 4, primo e secondo periodo, e 5, del Codice Civile , per un importo massimo complessivo di Euro 100.000.000,00, comprensivo dell’eventuale sovrapprezzo (l’“Importo Complessivo Massimo ”), da esercitarsi in una o più volte entro il termine di cinque anni dalla data della delibera assembleare , subordinatamente al perfezionamento della fusione per incorporazione di Banca CF+ Credito Fondiario S.p.A. (“ Banca CF+ ”) in Banca Sistema (la “Fusione ”).
La Relazione Illustrativa è messa a disposizione del pubblico con le modalità previste dalle disposizioni di legge e regolamentari applicabili ed è consultabile, tra l’altro, sul sito internet di Banca Sistema ( www.bancasistema.it ), nonché presso il meccanismo di stoccaggio autorizzato “1info” ( https://www.1info.it/PORTALE1INFO ).
1. ILLUSTRAZIONE DELLA DELEGA
Ai sensi dell’art. 2443 del Codice Civile, lo Statuto sociale può attribuire agli amministratori la facoltà di aumentare il capitale sociale, in una o più volte, fino ad un ammontare determinato e per un periodo massimo di cinque anni dalla delibera assembleare di attribuzione della delega.
Lo Statuto individua, inoltre, la tipologia e le modalità di esecuzione dell’aumento del capitale sociale.
A tal fine, si propone di modificare l’art. 5 dello Statuto sociale , per introdu rre la possibilità per l’Assemblea dei soci di conferire al Consiglio di Amministrazione la facoltà di aumentare il capitale sociale, nei limiti previsti dall’art. 2443 del Codice Civile . Inoltre, per le motivazioni e gli obiettivi meglio descritti nel seguito della presente Relazione Illustrativa, la D elega che Vi proponiamo di conferire al Consiglio di Amministrazione si caratterizza per l’attribuzione di una facoltà di aumentare il capitale sociale nei seguenti termini :
(i) in una o più volte, anche per tranche ;
(ii) entro il periodo massimo di esercizio di cinque anni dalla data della delibera assembleare e fino all’ Importo Massimo Complessivo , comprensivo dell’eventuale sovrapprezzo;
(iii) a pagamento (dunque con previsione di nuovi conferimenti) , in via scindibile ;
(iv) alternativamente (a) nel rispetto del diritto di opzione ai sensi dell’art. 2441, del Codice civile, ovvero (b) anche con esclusione del diritto di opzione ai sensi dell’art. 2441 commi 4, primo e secondo periodo, e 5, del Codice Civile .
4/10 2. MOTIVAZIONI DELL A DELEGA E DESTINAZIONE DELL’AUMENTO DI
CAPITALE
In data 24 giugno 2026 i Consigli di Amministrazione – rispettivamente – di Banca CF+ e di Banca Sistema hanno approvato il progetto di fusione per incorporazione di Banca CF+ in Banca Sistema, progetto che l’Assemblea straordinaria degli Azionisti è chiamata ad approvare al primo punto all’ordine del giorno (la “Fusione ”).
La Fusione rappresenta il naturale completamento del processo di integrazione avviato con l’offerta pubblica di acquisto e scambio volontaria totalitaria e l’offerta pubblica di acquisto e scambio obbligatoria totalitaria promosse da Banca CF+ sulle azioni ordinarie di Banca Sistema, ed è finalizzata a: ( i) assicurare un più efficace coordinamento strategico ed efficienza nella governance ; (ii) evitare le duplicazioni in termini di strutture organizzative e tecnologiche necessarie alla gestione di entità legali distinte, massimizzando al contempo l’efficienza operativa; e (iii) incrementare – con nuove risorse – la già solida posizione patrimoniale dell’intermediario.
È previsto che, ad esito della Fusione , European Investments Holding Company S.à r.l ., attuale socio di controllo di Banca CF+, deterrà circa l’85% del capitale sociale di Banca Sistema , esercitando quindi il controllo ai sensi dell’art. 2359 del Codice Civile e dell’art. 93 del TUF, nonché dell’art. 23 del TUB.
In questo contesto , l’attribuzione della Delega al Consiglio di Amministrazione è funzionale a consentire a Banca Sistema - che rimarrà quotata sul mercato Euronext Milan a seguito della Fusione - di valutare l’opportunità di aumentare il flottante dei propri titoli, in considerazione della composizione dell’azionariato rilevante di Banca Sistema a seguito della Fusione nonché dei requisiti previsti dalla regolamentazione di Borsa Italiana S.p.A. ai fini del mantenimento della quotazione sul mercato regolamentato Euronext Milan, segmento Euronext STAR Milan.
Si ritiene, inoltre, che l ’aumento del flottante assicurerebbe non solo una maggiore liquidità del titolo, ma anche una maggior visibilità ed un miglior posizionamento di Banca Sistema sul mercato.
L’eventuale esercizio della Delega potrà altresì contribuire a rafforzare ulteriormente la dotazione patrimoniale della Società.
La Delega consentirà quindi al Consiglio di Amministrazione - ai fini del perseguimento del miglior interesse di medio e lungo termine di Banca Sistema e del gruppo ad essa facente capo , nonché nell’ottica della realizzazione degli obiettivi di sviluppo e di rafforzamento patrimoniale prospettati nel progetto di Fusione e, in ogni caso, allo scopo di creare valore per gli Azionisti
- di cogliere, con una tempistica adeguata, le condizioni più favorevoli per l’esecuzione di eventuali operazioni di raccolta di capitali.
Oltre alla maggiore flessibilità in merito alla scelta delle tempistiche e delle modalità di attuazione rispetto alla delibera di aumento del capitale eventualmente effettuata dall’Assemblea degli Azionisti, lo strumento della Delega presenta l’ulteriore vantaggio di rimettere al Consiglio di Amministrazione la determinazione delle condizioni economiche dell’aumento nel suo complesso , tenuto conto delle condizioni di mercato prevalenti al momento del lancio effettivo dell’operazione e riducendo, tra l’altro , il rischio di oscillazione dei corsi di borsa tra il momento dell’annuncio e quello dell’avvio dell’operazione, che intercorrerebbe ove la stessa fosse decisa dall’organo assembleare. Inoltre, l a possibilità di prevedere l ’esclusione del diritto di opzione ai sensi dell’art. 2441, commi 4 e 5, del C odice Civile , consent e di individuare in modo maggiormente flessibile i destinatari dell’offerta delle azioni di nuova emissione, nonché di ridurre ulteriormente il rischio di oscillazione dei corsi di borsa, pote ndo il Consiglio di Amministrazione individuare una finestra temporale di sottoscrizione più r istretta rispetto a quella minima fissata per legge in caso di offerta in opzione.
5/10 3. MODALITÀ DI ESECUZIONE DELLA DELEGA
I termini per l’emissione e la sottoscrizione delle azioni di nuova emissione saranno di volta in volta definiti, con riferimento a ciascuna tranche di aumento di capitale, dal Consiglio di Amministrazione in sede di esercizio della Delega .
In particolare, ai fini dell’esercizio della Delega mediante aumento di capitale in opzione , il Consiglio di Amministrazione avrà facoltà di stabilire modalità, termini e condizioni dell’aumento di capitale e della sua esecuzione, nel rispetto di quanto di seguito indicato, e pertanto, di determinare, anche in prossimità dell’avvio dell’offerta in opzione:
(i) la misura dell’aumento del capitale, comunque non superiore – tenuto conto anche dell’eventuale sovrapprezzo - all’Importo Complessivo Massimo , da realizzarsi in una o più volte, e anche per tranche ;
(ii) il prezzo di emissione delle azioni, incluso l’eventuale sovrapprezzo , tenuto conto, tra l’altro, delle condizioni di mercato prevalenti nel momento di determinazione dei termini dell’aumento di capitale, dei corsi di borsa dell’azione Banca Sistema, dell’andamento reddituale, economico, patrimoniale e finanziario della Società, nonché della prassi di mercato per operazioni similari;
(iii) il numero di azioni oggetto dell’emissione ed il relativo rapporto di opzione , fermo re-
stando che le azioni di nuova emissione avranno le stesse caratteristiche – anche in ter-
mini di godimento – di quelle in circolazione e saranno offerte in opzione ai soci in pro-
porzione alla partecipazione detenuta .
Ai sensi dell’art. 2441, comma 6, del Codice Civile , in caso di non spettanza, esclusione o limitazione del diritto di opzione (nei casi di cui ai commi 4, primo periodo, e 5 della medesima disposizione), il Consiglio di Amministrazione dovrà illustrare, con apposita relazione, le ragioni dell’esclusione o della limitazione del diritto di opzione ovvero, in caso di non spettanza di quest’ultimo per previsione di conferimento diverso dal denaro, le ragioni di questo e in ogni caso i criteri adottati per la determinazione del prezzo di emissione. Tale relazione dovrà essere comunicata al Collegio Sindacale e alla società di revisione nei termini di legge, ai fini del rilascio del richiesto parere sulla congruità del prezzo di emissione delle azioni di nuova emissione. Il prezzo di emissione delle azioni dovrà essere determinato in base al valore del patrimonio netto, tenendo conto dell’andamento delle quotazioni nell’ultimo semestre.
Per le determinazioni relative ad aumenti di capitale da liberare in denaro ai sensi dell’ art. 2441, comma 4, secondo periodo, del Codice Civile, si ricorda altresì che l'art. 2441, comma 4, secondo periodo, del Codice Civile stabilisce – quale condizione per avvalersi dell'esclusione del diritto di opzione nei limiti del 10% del numero delle azioni preesistenti - che il prezzo di emissione debba corrispondere al valore di mercato di tali azioni e che ciò sia confermato in apposita relazione da parte di un revisore legale o di una società di revisione legale. In tali casi il Consiglio provvederà ad acquisire tale relazione in occasione di ciascun esercizio della Delega.
Resta in ogni caso fermo quanto disposto dall’art. 2443, comma 4, del Codice Civile in relazione agli aumenti del capitale sociale con conferimenti di beni in natura o di crediti avvalendosi delle disposizioni di cui all’art. 2343- ter del Codice Civile .
Nel rispetto di quanto precede, resta inteso che il prezzo di sottoscrizione delle azioni di nuova emissione non potrà essere inferiore alla parità contabile delle azioni in circolazione alla data di esercizio della Delega.
Più in generale, il Consiglio di Amministrazione avrebbe ogni più ampia facoltà di definire termini e condizioni dell’aumento di capitale e dell’operazione. Il Consiglio di Amministrazione avrebbe altresì la facoltà di decidere se procedere alla richiesta di ammissione alle negoziazioni delle azioni di nuova emissione e se attivare un consorzio di garanzia e/o di collocamento.
La documentazione illustrativa relativa alla delibera di aumento di capitale che sarà eventualmente assunta sulla base della Delega sarà messa a disposizione del pubblico nei termini di legge.
6/10 4. CONSORZI DI GARANZIA E/O COLLOCAMENTO
Nell’esercizio della Delega, il Consiglio di Amministrazione della Società potrà valutare l’opportunità di conferire un mandato a una o più istituzioni finanziarie per la costituzione di un consorzio di garanzia e/o collocamento in relazione all’aumento di capitale, anche eventualmente per singoli esercizi della Delega.
L’eventuale nomina di un consorzio di garanzia sarà tempestivamente comunicata al mercato nell’informativa che sarà redatta ai sensi di legge al momento dell’esercizio della Delega.
5. EVENTUALI ALTRE FORME DI COLLOCAMENTO PREVISTE E AZIO-
NISTI CHE HANNO MANIFESTATO LA DISPONIBILITÀ A SOTTO-
SCRIVERE LE AZIONI DI NUOVA EMISSIONE, NONCHÉ GLI EVEN-
TUALI DIRITTI DI OPZIONE NON ESERCITATI
Le azioni di nuova emissione rivenienti dall’aumento di capitale eventualmente deliberato in esercizio della Delega potranno essere offerte agli azionisti della Società nel rispetto del diritto di opzione ai sensi dell’art. 2441 del Codice Civile, ovvero anche in sottoscrizione a terzi, con esclusione o limitazione del diritto di opzione, ai sensi dell’art. 2441, comma 4, primo e secondo periodo, e comma 5, del Codice civile .
In ogni caso, in sede di esercizio della Delega, il Consiglio di Amministrazione darà adeguata informativa al mercato in merito alle eventuali altre forme di collocamento previste.
6. CRITERI DI DETERMINAZIONE DEL PREZZO DI EMISSIONE DELLE
NUOVE AZIONI
Le nuove azioni saranno offerte al prezzo che verrà di volta in volta stabilito dal Consiglio di Amministrazione (inclusivo dell’eventuale sovrapprezzo) in sede di esercizio della Delega.
7. DURATA DELLA DELEGA E TEMPI DI ESERCIZIO
Si propone di stabilire che la Delega possa essere esercitata, in una o più volte e anche per tranche , entro il termine di cin que anni a decorrere dalla data della delibera assembleare di attribuzione della stessa. Vale a dire che, ove approvata dall’Assemblea convocata per il 12 ottobre 2026, la Delega potrà essere esercitata, in ogni caso, entro il termine finale del 12 ottobre 2031, trascorso il quale la stessa verrà automaticamente meno.
Fermo quanto precede, le tempistiche di esercizio della Delega (esercizio che si richiede possa essere anche parziale e avvenire in più fasi e in momenti diversi) e delle conseguenti emissioni dipenderanno dalle circostanze di fatto e dalle concrete opportunità che si presenteranno e verranno comunicate al mercato ai sensi di legge e di regolamento non appena determinate dal Consiglio di Amministrazione.
8. AMMONTARE DELLA DELEGA
L’aumento del capitale eventualmente deliberato dal Consiglio di Amministrazione in esercizio della Delega non potrà e ssere superiore a complessivi Euro 100.000.000,00, comprensivi di eventuale sovrapprezzo.
7/10 9. DATA DI GODIMENTO DELLE AZIONI DI NUOVA EMISSIONE
Il godimento delle azioni di nuova emissione rivenienti dall’aumento di capitale deliberato in esercizio della Delega sarà determinato dal Consiglio di Amministrazione per ogni eventuale esercizio della Delega , ferma restando l’attribuzione ai possessori di pari diritti rispetto alle azioni già emesse dalla Società .
10. EFFETTI ECONOMICO-PATRIMONIAL I E FINANZIARI ED EFFETTI
DILUITIVI
In sede di esercizio della Delega, il Consiglio di Amministrazione darà adeguata informativa al mercato in merito agli effetti economico -patrimoniali e finanziari dell’operazione di volta in volta interessata, nonché agli effetti sul valore unitario delle azioni e alla eventuale diluizione derivante dall’operazione.
11. MODIFIC HE STATUTARIE
In conseguenza dell e proposte di deliber e che si sottopongono alla Vostra approvazione, sa rà necessario modificare l’articolo 5 dello Statuto sociale .
Si riporta di seguito il testo vigente dell’articolo 5 dello Statuto sociale di Banca Sistema raffrontato con il testo nella versione che il Consiglio di Amministrazione Vi propone di adottare:

Tale aumento di capitale gratuito è per un ammontare massimo di nominali Euro 49.920

corrispondente a massimo 416.000 (quattrocento sedicimila) azioni ordinarie de lla Società del valore nominale di Euro 0,12 (dodici centesimi) ciascuna e dovrà essere eseguito entro il 30 giugno 2023, dandosi atto che il capitale si considererà aumentato di un importo pari alle sottoscrizioni raccolte e che le singole sottoscrizioni, anche parziali, saranno immediatamente efficaci, con conseguente contestuale attribuzione delle azioni e dei relativi diritti sociali.
L’aumento gratuito del capitale avverrà me-diante utilizzo della Riserva vincolata per au-
mento di capitale a servizio del Piano 2016 e 5.1 [omissis ] In data 28 aprile 2016 l’Assemblea straordinaria della Società ha deliberato, ai sensi dell’art.
2349 del Codice civile, di aumentare gratuitamente, in forma scindibile, il capitale sociale a servizio del Piano di Stock Grant 2016 (“Piano 2016”) approvato dall’Assemblea ordinari a della Società in pari data, nonché a servizio dei Piani di Stock Grant che potranno in futuro essere approvati dall’Assemblea della Società in relazione agli anni di competenza 2017, 2018 e 2019 (“Piani 2017- 2019”). Tale aumento di capitale gratuito è per un ammontare massimo di nominali Euro 49.920
(quarantanovemilanovecentoventi),

ranno emesse in più tranche , nei modi e nei tempi previsti dal regolamento del Piano 2016 e dei Piani 2017- 2019.
Sono delegate al Consiglio di Amministrazione – con facoltà di sub- delega ai propri compo-
nenti – tutte le occorrenti facoltà relative all’esecuzione dell’aumento di capitale di cui sopra e in particolare all’attribuzione e all’emissione delle nuove azioni a servizio del Piano 2016 e dei Piani 2017- 2019 nei termini e alle condizioni ivi previsti, nonché la facoltà di apportare le conseguenti modifiche al pre-
sente articolo, al fine di adeguare di volta in volta l’ammontare del capitale sociale.
Trascorso il termine entro il quale l’aumento di cui sopra dovrà essere eseguito, alle condi-
zioni previste dal Piano 2016 e dai Piani 2017-
2019, il capitale sociale si intenderà aumen-tato per un importo corrispondente alle azioni emesse.

sente articolo, al fine di adeguare di volta in volta l’ammontare del capitale sociale.

13. PROPOSTA DI DELIBERAZIONE
Signori Azionisti,
alla luce di quanto sopra esposto , il Consiglio di Amministrazione invita l’Assemblea straordinaria degli azionisti di Banca Sistema ad approvare la seguente proposta di delibera:
“L’Assemblea degli azionisti di Banca Sistema S.p.A. , riunitasi in sede straordinaria:
- esaminata la relazione illustrativ a del Consiglio di Amministrazione sulla proposta di con-
ferimento della Delega e condivise le motivazioni ivi contenute ;

1) di modificare l’art icolo 5, comma 1, dello Statuto sociale, introducendo la seguente pre-
visione: “ L’Assemblea dei soci può delegare al Consiglio di Amministrazione la facoltà di aumentare, in una o più tranche, il capitale sociale fino ad un ammontare determinato e per un periodo massimo di cinque anni dalla data della deliberazione, anche con esclu-

2) di attribuire al Consiglio di Amministrazione, ai sensi dell’articolo 2443 del Codice Civile, una delega ad aumentare il capitale sociale a pagamento , in una o più volte e anche per tranche, in via scindibile, nel rispetto del diritto di opzione ai sensi dell’art. 2441 del Codice Civile, ovvero anche con esclusione del diritto di opzione ai sensi dell’art. 2441, comm i 4, primo e secondo periodo, e 5, del Codice civile , per un importo massimo com-
plessivo di Euro 100.000.000,00, comprensivo dell’eventuale sovrapprezzo, da esercitarsi in una o più volte entro il termine di cinque anni dalla data della presente delibera , su-
bordinatamente al perfezionamento della fusione per incorporazione di Banca CF+ Credito Fondiario S.p.A. in Banca Sistema S.p.A. ;
3) di, conseguentemente, modificare l’articolo 5 , comma 1, dello Statuto sociale , introdu-
cendo la formulazione che segue: “L’Assemblea riunitasi in sede straordinaria in data 12 ottobre 2026 ha deliberato di delegare al Consiglio di Amministrazione, ai sensi dell’art.
2443 del Codice Civile, la facoltà di aumentare il capitale sociale a pagamento, in una o più tranche, in via scindibile, nel rispetto del diritto di opzione ai sensi dell’artic olo 2441 del Codice Civile, ovvero anche con esclusione del diritto di opzione ai sensi dell’art. 2441, commi 4, primo e secondo periodo, e 5, del Codice Civile per un importo massimo com-

3/10 Dear Shareholders, this explanatory report (the “ Explanatory Report ”) has been prepared by the Board of Directors of Banca Sistema S.p.A. (“ Banca Sistema ” or the “ Company”) pursuant to Article 125-ter of Legislative Decree no. 58 of 24 February 1998, as subsequently amended and supplemented (the “ TUF”), as well as Article 72 of the Regulation adopted by Consob with Resolution no. 11971 of 14 May 1999, as subsequently amended and supplemented (the “Issuers’ Regulation ”), in order to submit to the approval of the Company's Shareholders’ Meeting, convened in extraordinary session on 12 October 2026, in a single call, the proposal to (i) amend Article 5 of the Statute in order to include the possibility for the assembly to grant the Board of Directors, pursuant to Article 2443, paragraphs 1 and 2 of the Civil Code, the power to increase the share capital, in one or more tranches and for a maximum period of five years from the date of the resolution, up to a determined amount, even with exclusion or limitation of pre -emptive rights; as well as (ii) to grant the Board of Directors, pursuant to art.
2443 of the Civil Code, a delegation (the “ Delegation ”) to increase the share capital for payment, in one or more installments and also in tranches, if divisible, respecting the pre -
emptive right under art. 2441 of the Civil Code, or even excluding the pre -emptive right pursuant to art. 2441, paragraphs 4, f irst and second sentence, and 5, of the Civil Code, for a maximum total amount of Euro 100,000,000.00, including any premium (the “ Maximum Total Amount ”), to be exercised in one or more times within five years from the date of the shareholders’ resolution, subject to the completion of the merger by incorporation of Banca CF+ Credito Fondiario S.p.A. (“ Banca CF+ ”) into Banca Sistema (the “ Merger”).
The Explanatory Report is made available to the public in accordance with the applicable legal and regulatory provisions and can be consulted, among other places, on Banca Sistema's website ( www.bancasistema.it ), as well as through the authorized storage mechanism “1info” (https://www.1info.it/PORTALE1INFO ).
1. EXPLANATION OF THE DELEGATION
Pursuant to Art. 2443 of the Civil Code, the Articles of Association may grant the directors the power to increase the share capital, in one or more tranches, up to a determined amount and for a maximum period of five years from the shareholders' meeting r esolution granting the delegation. The Articles also specify the type and methods for carrying out the share capital increase.
To this end, it is proposed to amend Art. 5 of the Articles of Association to introduce the possibility for the shareholders' meeting to give the Board of Directors the power to increase the share capital, within the limits set out in Art. 2443 of the Civil Code. Furthermore, for the reasons and objectives better described in the rest of this Illustrative Report, the Delegation we propose to grant to the Board of Directors is characterized by granting the power to increase the share capital under the follow ing terms:
(i) in one or more instances, even in installments;
(ii) within the maximum exercise period of five years from the date of the shareholders' resolution and up to the Maximum Total Amount, including any premium;
(iii) for payment (thus involving new contributions), in a divisible manner;
(iv) alternatively (a) in compliance with the pre -emptive right under art. 2441 of the Civil Code, or (b) also with exclusion of the pre -emptive right under art. 2441, paragraphs 4, first and second sentence, and 5, of the Civil Code.
4/10 2. REASONS FOR THE DELEGATION AND PURPOSE OF THE CAPITAL
INCREASE
On June 24, 2026, the Boards of Directors – of Banca CF+ and Banca Sistema respectively – approved the merger plan for Banca CF+ to be incorporated into Banca Sistema, a plan that the extraordinary Shareholders' Meeting is called to approve as the first it em on the agenda (the “ Merger ”).
The Merger represents the natural completion of the integration process started with the voluntary total public tender offer and the mandatory total public tender offer launched by Banca CF+ on the ordinary shares of Banca Sistema, and is aimed at: (i) ens uring more effective strategic coordination and governance efficiency; (ii) avoiding duplications in terms of organizational and technological structures needed to manage separate legal entities, while maximizing operational efficiency; and (iii) strengthe ning the already solid financial position of the intermediaries with new resources.
It is expected that, as a result of the Merger, European Investments Holding Company S.à r.l., the current controlling shareholder of Banca CF+, will hold about 85% of Banca Sistema's share capital, thereby exercising control pursuant to Article 2359 of th e Civil Code and Article 93 of the TUF, as well as Article 23 of the TUB. In this context, giving the Board of Directors the Delegation is meant to allow Banca Sistema —which will remain listed on the Euronext Milan market after the Merger—to consider the o pportunity to increase the free float of its shares, taking into account the composition of Banca Sistema's main shareholders following the Merger and the requirements set by Borsa Italiana S.p.A. regulations for maintaining its listing on the regulated Eu ronext Milan market, Euronext STAR Milan segment.
It is also believed that increasing the free float would ensure not only greater liquidity of the stock but also greater visibility and a better positioning of Banca Sistema in the market. The potential exercise of the Delegation could also contribute to f urther strengthening the Company's capital base. The Delegation will therefore allow the Board of Directors - in order to pursue the best medium - and long -term interest of Banca Sistema and its group, as well as with a view to achieving the development and capital strengthening objectives outlined in the Merger project and, in any case, with the aim of creating value for the Shareholders - to seize, with appropriate timing, the most favorable conditions for carrying out any capital -raising operations.
In addition to offering greater flexibility regarding the timing and methods of implementation compared to a capital increase resolution that might be passed by the Shareholders' Meeting, the Delegation instrument has the added advantage of leaving it to the Board of Directors to determine the financial conditions of the increase as a whole, taking into account the prevailing market conditions at the time of the actual launch of the operation and, among other things, reducing the risk of stock price fluctua tions between the announcement and the start of the operation, which would occur if it were decided by the shareholders' body.
Moreover, the possibility of excluding the pre -emptive right under Article 2441, paragraphs 4 and 5, of the Civil Code allows for more flexibility in identifying the recipients of the new shares offering and also helps to further reduce the risk of stock p rice fluctuations, as the Board of Directors can choose a subscription period that is shorter than the minimum period set by law in the case of a rights issue.
5/10 3. METHOD OF EXECUTING THE DELEGATION
The terms for issuing and subscribing to the newly issued shares will be defined from time to time, with reference to each tranche of the capital increase, by the Board of Directors when exercising the Delegation.
In particular, for the purpose of exercising the Delegation through a rights issue, the Board of Directors will have the power to set the methods, terms, and conditions of the capital increase and its execution, in compliance with the following, and theref ore, to determine, even close to the start of the rights offering:
(i) the amount of the capital increase, in any case not exceeding – also considering any share premium – the Maximum Total Amount, to be carried out in one or more instances, and also in tranches;
(ii) the issue price of the shares, including any share premium, taking into account, among other things, the market conditions prevailing at the time of determining the terms of the capital increase, the stock prices of Banca Sistema shares, the profit, econom ic, asset, and financial trends of the Company, as well as market practice for similar transactions;
(iii) the number of shares being issued and the related subscription ratio, provided that the newly issued shares will have the same characteristics – including in terms of benefits – as the existing ones and will be offered for subscription to shareholders in p roportion to their current holdings.
Pursuant to art. 2441, paragraph 6, of the Civil Code, in the case of non -entitlement, exclusion, or limitation of the pre -emptive right (in the cases referred to in paragraphs 4, first sentence, and 5 of the same provision), the Board of Directors must ex plain, in a specific report, the reasons for the exclusion or limitation of the pre -emptive right or, in the case of non -entitlement to it due to a contribution other than cash, the reasons for this, and in any case the criteria adopted for determining the issue price. This report must be communicated to the Board of Statutory Auditors and the auditing firm within the legal deadlines, for the purpose of obtaining the requested opinion on the adequacy of the issue price of the newly issued shares. The issue price of the shares must be determined based on the net asset value, taking into account the trend of quotations over the last six months.
For decisions regarding capital increases to be paid in cash pursuant to Article 2441, paragraph 4, second period, of the Civil Code, it should also be noted that Article 2441, paragraph 4, second period, of the Civil Code establishes – as a condition for taking advantage of the exclusion of pre -emptive rights within the limit of 10% of the number of existing shares – that the issue price must correspond to the market value of such shares and that this must be confirmed in a specific report by a statutory a uditor or an audit firm. In such cases, the Board will acquire this report on each occasion the Delegation is exercised.
In any case, the provisions of Article 2443, paragraph 4, of the Civil Code regarding increases in share capital through contributions of assets in kind or credits using the provisions of Article 2343- ter of the Civil Code remain in effect.
In line with the above, it is understood that the subscription price of newly issued shares cannot be lower than the book value of the shares in circulation on the date the Delegation is exercised.
More generally, the Board of Directors would have full authority to define the terms and conditions of the capital increase and the operation. The Board of Directors would also have the power to decide whether to apply for the admission to trading of the n ewly issued shares and whether to set up a guarantee and/or placement consortium.
The explanatory documentation related to the capital increase resolution that may eventually be adopted based on the Delegation will be made available to the public in accordance with the law.
6/10 4. GUARANTEE AND/OR PLACEMENT CONSORTIA
In exercising the Delegation, the Company's Board of Directors may consider the option of granting a mandate to one or more financial institutions to set up a guarantee and/or placement consortium in connection with the capital increase, possibly even for individual exercises of the Delegation.
Any appointment of a guarantee consortium will be promptly communicated to the market in the information that will be prepared according to the law at the time of exercising the Delegation.
5. ANY OTHER FORMS OF PLACEMENT PLANNED AND SHAREHOLDERS
WHO HAVE SHOWN WILLINGNESS TO SUBSCRIBE TO THE NEW SHARES, AS WELL AS ANY UNUSED OPTION RIGHTS
Any newly issued shares resulting from a capital increase that may be approved under the Delegation can be offered to the Company’s shareholders in accordance with pre -emptive rights under Article 2441 of the Civil Code, or they can also be subscribed by t hird parties, with the exclusion or limitation of the pre -emptive right, pursuant to Article 2441, paragraph 4, first and second sentences, and paragraph 5, of the Civil Code. In any case, when exercising the Delegation, the Board of Directors will provide the market with adequate information regarding any other planned placement methods.
6. CRITERIA FOR DETERMINING THE ISSUANCE PRICE OF NEW
SHARES
The new shares will be offered at the price that will be set from time to time by the Board of Directors (including any possible premium) when exercising the Delegation.
7. DURATION OF THE DELEGATION AND TIME OF EXERCISE
It is proposed to establish that the Delegation can be exercised, once or multiple times and even in installments, within five years from the date of the shareholders' meeting resolution granting it. That is, if approved by the Meeting convened for October 12, 2026, the Delegation can, in any case, be exercised by the final deadline of October 12, 2031, after which it will automatically lapse.
Without prejudice to the above, the timing of exercising the Delegation (which is requested to be possible even partially and in multiple stages at different times) and the related issuances will depend on the actual circumstances and concrete opportunitie s that arise, and will be communicated to the market in accordance with the law and regulations as soon as they are determined by the Board of Directors.
8. DELEGATION AMOUNT
Any capital increase eventually decided by the Board of Directors under the Delegation cannot exceed a total of EUR 100,000,000.00, including any possible share premium.
7/10 9. DATE OF ENTITLEMENT OF NEWLY ISSUED SHARES
The entitlement of the newly issued shares resulting from the capital increase approved under the exercise of the Delegation will be determined by the Board of Directors for each possible exercise of the Delegation, while still granting holders equal rights compared to the shares already issued by the Company.
10. ECONOMIC, ASSET AND FINANCIAL EFFECTS, AND DILUTIVE
EFFECTS
When exercising the Delegation, the Board of Directors will provide the market with appropriate information about the economic, financial, and asset effects of the operation in question each time, as well as the impact on the unit value of the shares and a ny dilution resulting from the operation.
11. STATUTORY CHANGES
As a result of the draft resolutions submitted for your approval, it will be necessary to amend Article 5 of the company's Articles of Association.
Below is the current text of Article 5 of Banca Sistema's Articles of Association compared with the version that the Board of Directors proposes for you to adopt:

The shares underlying the free share capital increase shall give regular divi-
dend entitlement and be issued in sev-
eral tranches in accordance with the terms and conditions set out in the Reg-
ulation of the 2016 Plan and 2017-2019 Plans.
The Board of Directors is granted the powers necessary to increase the share capital - including the authority to sub-
delegate such powers to its individual members - and specifically the power to assign and issue the new shares to ser-

The Assembly, convened in extraordinary session on October 12, 2026, decided to delegate to the Board of Directors, pursuant to Article 2443 of the Civil Code, the power to increase the share capital for payment, in one or more tranches, in a divisible man ner, respecting the pre- emptive rights under Article 2441 of the Civil Code, or alternatively even excluding the pre-emptive rights pursuant to Article 2441, paragraphs 4, first and second sentences, and 5, of the Civil Code, for a maximum total amount of Euro 100,000,000.00, including any share premium, to be exercised by October 12, 2031.

12. RIGHT OF WITHDRAWAL
The proposed amendments to the bylaws do not give shareholders who do not vote in favor of them the right to withdraw.
13. PROPOSAL FOR RESOLUTION
Dear Shareholders,
In light of what has been presented above, the Board of Directors invites the extraordinary shareholders' meeting of Banca Sistema to approve the following resolution proposal:
“The Shareholders' Meeting of Banca Sistema S.p.A., convened in extraordinary session: -
having examined the explanatory report of the Board of Directors on the proposal to grant the Delegation and having agreed with the reasons contained therein;
resolves
1) to amend article 5, paragraph 1, of the articles of association, by introducing the following provision: "The shareholders' meeting may delegate to the Board of Directors the power to increase the share capital in one or more installments, up to a specifie d amount and
10/10 for a maximum period of five years from the date of the resolution, even with exclusion or limitation of pre -emptive rights.";
2) to grant the Board of Directors, pursuant to Article 2443 of the Civil Code, a delegation to increase the share capital for consideration, in one or more tranches and also in divi-
sible installments, in compliance with the pre -emptive right pursuant to Arti cle 2441 of the Civil Code, or even with exclusion of the pre -emptive right pursuant to Article 2441, paragraphs 4, first and second sentence, and 5, of the Civil Code, for a maximum total amount of Euro 100,000,000.00, including any share premium, to be e xercised in one or more times within five years from the date of this resolution, subject to the completion of the merger by incorporation of Banca CF+ Credito Fondiario S.p.A. into Banca Sistema
S.p.A.;
3) to amend, consequently, Article 5, paragraph 1, of the Articles of Association, introducing the following wording: "The Extraordinary Shareholders' Meeting held on 12 October 2026 resolved to delegate to the Board of Directors, pursuant to art. 2443 of the Italian Civil Code, the right to increase the share capital for payment, in one or more tranches, in divisible form, in compliance with the option right pursuant to Article 2441 of the Italian Civil Code, or also with the exclusion of the option right pur suant to art. 2441, paragraphs 4, first and second sentences, and 5, of the Italian Civil Code for a maximum total amount of Euro 100,000,000.00, including any share premium, to be exercised by 12 October
2031.";
4) to grant the Board of Directors, and through it the Chairman and the CEO, acting sepa-
rately from each other and also through special attorneys individually appointed by them, within the limits of the law – without prejudice to the collegial nature of the e xercise of the delegation pursuant to art. 2443 of the Civil Code – every and the broadest power to take whatever necessary measures to implement the resolutions and to fulfill the neces-
sary formalities so that all resolutions adopted today obtain the lega l approvals, and gen-
erally everything needed for the full execution of the resolutions, with every and any power necessary and appropriate for this purpose, none excluded, including the power to make to the resolutions adopted any non -substantial modifications, corrections, or addi-
tions necessary for registration in the Companies Register, including the task of filing the updated articles of association with the competent Business Register, both for the entry into force of the delegations as mentioned above, and for the statutory changes resulting from the exercise and implementation of the delegations themselves. ”.
