PUBLICATION OF THE UPDATED BY -LAWS
Milan, 29 September 2026 – Industrie De Nora S.p.A. (“ IDN” or the “ Company ”) hereby announces that, following the settlement of the accelerated bookbuilding transaction involving shares of the Company held by Asset Company 10 S.r.l. (“ AC10 ”), a wholly owned subsidiary of Snam S.p.A.
(“Snam ”), the Company’s By -laws have been updated.
As part of the accelerated bookbuilding transaction launched on 21 September 2026, AC10 sold 10,084,258 multiple voting shares of the Company, representing approximately 5% of its share capital.
The transfer of those shares, which settled on 24 September 2026, resulted, pursuant to Article 5.6 of the Company’s By -laws, in their automatic conversion into ordinary shares of the Company at a 1:1 ratio, with no change in the amount of share capital or the total number of shares into which it is divided.
Today, the Company’s Board of Directors acknowledged that the conversion of those shares had taken place and consequently updated Article 5.1 of the By -laws to reflect the new breakdown of the shares by class.
Following the conversion, IDN’s share capital of EUR 18,268,203.90 remains divided into a total of 201,685,174 shares with no indication of par value, comprising 61,288,237 ordinary shares and 140,396,937 multiple voting shares.
The updated text of the Company’s By -laws was filed today with the Companies Register of Milan -
Monza -Brianza -Lodi and is available to the public at the Company’s registered office, on its website at www.denora.com in the “Investors / Governance / Documents and Procedures” section, and through the authorized storage mechanism “1Info” at www.1info.com.
