PUBLICATION OF SHAREHOLDERS’ MEETING DOCUMENTATION
AUDIT FIRM UNABLE TO EXPRESS AN OPINION ON THE SEPARATE
AND CONSOLIDATED FINANCIAL STATEMENTS
Marina di Carrara, Carrara, Italy, 9 September 2026 - The Italian Sea Group S.p.A. (“ TISG ” or the “ Company ”), a global operator in the luxury yachting sector, announces that the following documents have been made available to the public at the company’s registered office in Marina di Carrara, Carrara (MS), Viale C. Colombo, 4 -bis, and on the Company’s website https://theitalianseagroup.com/it/ , under the ‘Corporate Governance’/‘Shareholders’ Meeting’ section:
(i) the draft annual financial statements, including the reports of the Board of Directors and the auditors, as well as the report on corporate governance and
ownership structure;
(ii) the second section of the report on remuneration and compensation paid;
(iii) the explanatory reports of the Board of Directors on the proposals referred to in the first and second items on the agenda of the Ordinary General Meeting of
Shareholders;
(iv) the lists of candidates for the positions of directors and statutory auditors of the Company.
These documents are also made available via the authorised storage mechanism EMarket Storage, at www.emarketstorage.it/it .
*** The Company announces that BDO Audit Services S.r.l. has stated that it is unable to express an opinion on the financial statements and unable to express a conclusion on the Sustainability Statement. For further details regarding the reasons underlying suc h determinations, reference is made to the full reports issued by the independent auditor and included in the Company’s published Annual Financial Report.
