Publication of Merger Documents ahead of the Extraordinary General Meeting of 23 October 2026
EVROPI HOLDINGS S.A. (the "Company"), further to its joint announcement with CrediaBank S.A. dated 18 September 2026 on the completion of the publicity formalities for the Draft Merger Agreement and on making documents available to shareholders, and ahead of the Extraordinary General Meeting of Shareholders of 23 October 2026, informs investors that the following documents relating to the Company and to the proposed merger by absorption of the Company by CrediaBank are published on the website of the Athens Stock Exchange (EURONEXT ATHENS):
- The detailed written Report of the Company's Board of Directors to the General Meeting on the Draft Merger Agreement, dated 16 September 2026, pursuant to Article 9 of Law 4601/2019.
- The Report on the verification of the book value of the Company's assets and liabilities as at 30 June 2026, dated 14 September 2026, prepared by "TMS S.A. Certified Auditors-Accountants," pursuant to Article 16(5) of Law 2515/1997.
- The Fairness Opinion on the Share Exchange Ratio, dated 16 September 2026, prepared by "BDO Certified Auditors S.A." It examines the Draft Merger Agreement and gives an opinion on whether the share exchange ratio is fair and reasonable, pursuant to Article 16 of Law 2515/1997 and Article 10 of Law 4601/2019.
These documents have been available to shareholders since 18 September 2026. They remain available until the close of the Extraordinary General Meeting and of any repeat meeting, in two forms:
- electronically on the Company's website (https://europe-holdings.com)
- in hard copy at the Company's registered office, 64 Kifisias Avenue, Building I, 2nd Floor, 151 25 Marousi, Attica
Completion of the merger is subject to approval by the General Meetings of the shareholders of the merging companies and to receipt of the required licences and approvals from the competent authorities.
