NOTICE OF CALL OF THE ORDINARY SHAREHOLDERS’ MEETING
ON 30 SEPTEMBER 2026 AND PUBLICATION OF EXPLANATORY
REPORTS
Marina di Carrara, Carrara, 21 August 2026 – The Italian Sea Group S.p.A. (“TISG ” or the “ Company ”), global operator in luxury yachting , hereby announces that it made available to the public, at the Company’s registered office in Marina di Carrara, Carrara (MS), Viale C. Colombo, 4 -bis, and on its website https://investor.theitalianseagroup.com/en/ , “Corporate Governance/Annual General Meeting” section :
(i) the notice of call of the Ordinary Shareholders’ Meeting on 30 September 2026;
(ii) the explanatory reports by the Board of Directors on the proposal s num 4 and 5 on the agenda of the Ordinary Shareholders’ Meeting ;
(iii) information on share capital at the date of the notice of call of the Ordinary Shareholders’ Meeting ;
(iv) the proxy forms pursuant to articles 135 -undecies and 135 -novies of Italian Legislative Decree n. 58/98 .
The documents indicated by (i), (ii), and (iii) are also made available through the authorized storage mechanism EMarket Storage, at www.emarketstorage.it/en .
