Bergen/Yokohama, 4 August 2026: Proximar Seafood AS ("Proximar" or the "Company") today announces the passing of a Written Resolution approving an amendment to the terms of outstanding subordinated unsecured convertible bonds (ISIN NO0012733387) (the "Bonds").
In reference to the announcement dated 10 July 2026 regarding a contemplated convertible bond issue, the Company proposed that holders of the Bonds resolve to extend the Maturity Date of the Bonds to 6 August 2029, aligning it with the maturity of the new contemplated convertible bond issue announced on 10 July 2026.
The Company is pleased to announce that the proposed amendment was approved by way of a Written Resolution among the bondholders. Please see the attached notice from Nordic Trustee AS confirming the result of the Written Resolution.
The amendment will take effect once the relevant conditions set out in the Notice for a Written Resolution have been satisfied, including execution of an amendment agreement and completion of the new convertible bond issue.
