UNIPOL: RENEWAL OF BANCASSURANCE AGREEMENT WITH BPER
Bologna, 7 October 2026
Today, Unipol Assicurazioni S.p.A. (“Unipol” or the “Company”) signed the agreements to renew its bancassurance partnership with BPER Banca S.p.A. (“BPER”) for the distribution of Arca Vita S.p.A.
and Arca Assicurazioni S.p.A. life and non -life insurance products, as well as UniSalute S.p.A. “health” insurance products (the “Agreements”).
The Agreements, which form part of the Stronger/Faster/Better Business Plan approved by Un ipol’s Board of D irectors on 27 March 2025 , in the strategic directio n “Stronger Distribution Network” relating to b ancassurance , govern extension of the partnership with BPER for the next 10 years - until 31 December 2036 - on terms that are essentially in line with those currently in effect .
Considering the parties involved, including Unipol’s associate BPER, the Agreements are qualified as a “related party transaction of greater significance” pursuant to the regulation adopted by CONSOB by Resolution n o. 17221 of 12 March 2010 as subsequently amended and supplemente d, containing provisions on related -party transactions (the “Related Party Transaction Regulation”), and the “Procedure for carrying out transactions with related parties " (“Related Party Transaction Procedure”) adopted by the Board of Directors of Unipol .
In that regard, Unipol has decided , on a voluntary basis, not to avail itself of the exemption provided for in A rticle 13, paragraph 2 of the Related Party Transaction Procedure regarding “Transactions with or between S ubsidiaries, whether individually or jointly, of the Company, as well as transactions with Associate d Companies, if there are no significant interests of other related parties to the Company in the Subsidiaries or A ssociates who are party to the transaction”, and subjecting the approval of renewal of the Agreements to the process required by the Related Party Transaction Procedure for transactions of “greater significance”.
The transaction was therefore approved by Unipol’s Board of D irectors subject to approval by the Related Party Transactions Committee regarding the interest of Unipol and its subsidiaries who are party to the Agreements (more specifically Arca Vita, Arca Assicurazioni and UniSalute) in carry out the transaction , as well as the suitability and substantive fairness of the related terms.
For further information on the transaction, please refer to the disclosure drawn up by Unipol in accordance with article 5 of the Related Party Transaction Regulation and art icle 14 of the Related Party Transaction Procedure, available to the public, on today’s date, at the registered office of the Company, on the authorised storage mechanism eMarket Storage (www.emarketstorage.it ), and on the Company’s web site ( www.unipol.com – Section “ Governance/ Related parties operations ”).
