pursuant to articles 36 and 41, paragraph 2, letter c), of the regulation adopted by CONSOB with resolution dated May 14, 1999 , no. 11971 (“CONSOB Regulation ”) Milan, 8 September 2026 — With reference to the voluntary exchange offer for all the shares of Banca Generali S.p.A. (the “Issuer ”) launched by Banca Monte dei Paschi di Siena S.p.A.
(the “Offeror ”) (the “Offer ”), it is hereby announced that, on the date hereof , the Issuer ha s carried out – in the context of share buyback programme started on 3 September 2026, as approved by the shareholders’ meeting of the Issuer held on April 1 6, 202 6 and authorized by the Bank of Italy on July 23, 2026 –the following purchase transactions of shares of the Issuer, which are subject to disclosure requirements under article 41, paragraph 2, letter c), of CONSOB Regulation .
