Iva e C.F. 04088410123 PIÙ MEDICAL: NOTIFICATION OF A MATERIAL CHANGE IN SHAREHOLDINGS BY LA FARMACEUTICA AND GSM AS A RESULT OF A REORGANIZATION OF THE HOLDING COMPANIES BELONGING TO THE MARONI FAMILY Castronno (VA), October 1, 2026 – Più Medical S.p.A. (“Più Medical” or the “Company”), a company whose shares are traded on Euronext Growth Milan and which is active in the development and management of pharmacies and integrated healthcare services, announces that it has received today, pursuant to Art. 17 of the Euronext Growth Milan Issuers’ Regulations, notices of a material change in shareholding from, respectively, the shareholder G.S.M. S.r.l. (“GSM”) and the shareholder La Farmaceutica S.p.A. (“La Farmaceutica”). As reported by the shareholders, the substantial change in GSM’s and La Farmaceutica’s shareholdings took place as part of a reorganization and rationalization of the corporate vehicles through which the Maroni family holds its stake in Più Medical (the “Reorganization”). More specifically, as part of the Reorganization effective as of October 1, 2026, La Farmaceutica transferred to GSM the entire stake held by the company in Più Medical, amounting to 280,272 common shares and 90,119 multiple-voting shares of the Company (representing, in the aggregate, 4.92% of the share capital and 11.06% of the voting rights exercisable at the Company’s shareholders' meetings). Therefore, as of the date of this press release, GSM holds a total of 2,695,500 ordinary shares and 350,000 multiple-voting shares of the Company, representing 40.43% of the share capital (compared to the 35.51% previously held) and 57.99% of the voting rights exercisable at Più Medical’s shareholders' meetings (compared to the 46.93% of voting rights previously exercisable), respectively. La Farmaceutica no longer holds any shares in the Company directly. Since GSM and La Farmaceutica are held by the same shareholders linked to the Maroni family, the reorganization has not resulted in any changes to the governance structure of Più Medical. For the same reason, and in accordance with the applicable provisions of the Company Bylaws, the 90,119 multiple-voting shares transferred by La Farmaceutica to GSM have retained that status. Furthermore, please be advised that, with respect to the transferred stake, GSM has entered into the same lock-up obligations previously undertaken by La Farmaceutica at the time of listing, for the remaining term. The partial waiver of the lock-up undertaking entered into by La Farmaceutica and the simultaneous assumption of that same lock-up undertaking by GSM took place in accordance with the provisions of the agreement signed at the time of the listing and duly set out in the Admission Document.
