PDMR Dealing

Hargreaves Services plc (AIM: HSP), a diversified group delivering services to the environmental, infrastructure and property sectors, announces that, on 14 August 2026, GB Holdings (2021) Limited, an entity associated with Gordon Banham, purchased 490,000 ordinary shares of ten pence each in the capital of the Company ("Ordinary Shares") at 820.4p each.

GB Holdings (2021) Limited has pledged these 490,000 Ordinary Shares in favour of LGT Bank AG as security against a loan facility. GB Holdings (2021) Limited remains the beneficial owner of the 490,000 Ordinary Shares subject to the pledge and retains full voting rights.

Following these transactions, the ultimate beneficial ownership of Gordon Banham and his connected parties in the Company is 3,090,761 Ordinary Shares, representing approximately 10.07% of the Company's issued Ordinary Shares (excluding those held in treasury).

The Company has also been notified that, on 14 August 2026, certain investment vehicles connected with Nicholas Mills, a Director of the Company, had sold 490,000 Ordinary Shares at 820.0p each. Following these transactions, Nicholas Mills and the investment vehicles connected with him are interested in 7,960,000 Ordinary Shares representing approximately 25.92% of the Company's issued share capital. This total is made up of the following:

Oryx International Growth Fund Limited: 2,300,000 Ordinary Shares

Harwood Capital LLP: 50,000 Ordinary Shares (including 9,167 Ordinary Shares held by Nicholas Mills)
