Payment of deferred consideration for System Era Softworks, Inc
Devolver Digital, an award-winning digital publisher and developer of independent ("indie") video games, is pleased to announce that it has completed the payment of $7.9m of the $10.0m contractual deferred consideration for System Era Softworks, Inc ("System Era"), which Devolver acquired in 2023. The deferred consideration was contingent upon the release of the game STARSEEKER: Astroneer Expeditions which came out in Early Access form last month.
The deferred consideration consisted of 10,177,811 shares valued at c. $3.0 million (based on a 30-trading day VWAP calculation), and c. $4.9m in cash. A further $2.1 million in cash and shares has been further deferred and split into two equal tranches - to be paid one year and two years from today.
The 10,177,811 shares were issued from the Company's shares held in treasury, which after the deferred consideration issuance total 7,769,129. Total shares in issue and outstanding increase by 10,177,811 shares to 495,648,938.
