GIUNTI PSYCHOMETRICS : PARTIAL EXERCISE OF THE GREENSHOE OPTION AND
COMPLETION OF THE STABILISAT ION ACTIVITY
Pursuant to Article 6(2) of Commission Delegated Regulation (EU) 2016/1052 of 8 March 2016 Florence , 19 August 2026 – Giunti Psychometrics Holding S.p.A. (Euronext Growth Milan: GPSY) (“Giunti Psychometrics” o r “the Company” ), one of the leading international players in the field of psychological assessment and mental health, specializing in the development, validation, and marketing of scientifically validated assessment tools, supported by proprietary content and digital platf orms, designed for professionals, institutions, and companies , announces , announces that today Alantra Capital Markets S.A.U., Italian Branch (hereinafter also referred to as "Alantra") , in its capacity as the stabilisation manager in relation to the Company's ordinary shares (ISIN IT0005722191), has partially exercised the Greenshoe Option for no. 310.339 ordinary shares of the Company, out of a maximum of 450,000 ordinary shares subject to the Greenshoe Option granted to Alantra, with the consequent return to Giunti Editore S.p.A. of a total of 139,661 ordinary shares of the Company borrowed pursuant to the Over -Allotment Option.
The exercise of the Greenshoe Option results in the immediate termination of the stabilisation period.
The purchase price of the ordinary shares subject to the Greenshoe Option is € 4.50 per ordinary share -
corresponding to the Offer Price established in connection with the Offering - for a total co untervalue of € 1,396,526.00 and s ettlement of the transaction is expected to occur by 20 August 2026.
Following the partial exercise of the Greenshoe Option on the terms described above, the Offering comprised a total of no. 3.651.448 ordinary shares of Giunti Psychometrics, for an aggregate countervalue of € 16.431.516 , and the free float of Giunti Psychometrics, calculated with reference to the 3.651.448 ordinary shares admitted to trading on Euronext Growth Milan, amounts to 30,84%.
The share capital of Giunti Psychometrics will therefore be represented by 11,841,109 ordinary shares, held as follows.

Furthermore, Giunti Psychometrics, based on the information provided by Alantra, in its capacity as the stabilisation manager in connection with the listing of the Company's ordinary shares, announces that Alantra carried out stabilisation transactions (as defined in Article 3(2)(d) of the Market Abuse Regulation (Regulation (EU) No.
596/2014)) in relation to the offering of the financial instruments described below.

Pursuant to Article 6 , paragraph 3 of Commission Delegated Regulation (EU) 2016/1052 supplementing Regulation (EU) No. 596/2014 of the European Parliament and of the Council with regard to regulatory technical standards for the conditions applicable to buy -back programmes and stabilisation measures, the Company, based on the information provided by Alantra, announces that the stabilisation period commenced on 22 July 2026 and that the last stabilisation transaction was carried out on 18 August 2026.
The table below sets out the details of the stabilisation transactions carried out during the stabilisation period.
