Outlet Group Holding ASA – Launch of the Offering, commencement of bookbuilding period and application periods

Os, 15 September 2026: Reference is made to the stock exchange announcements on 14 September 2026, whereby Outlet Group Holding ASA ("Outlet Group" or the "Company") announced the terms of the initial public offering of its shares (the "Offering" or the "IPO") and the approval and publication of the prospectus for the IPO (the "Prospectus").

The Prospectus was published on 14 September 2026 and is, subject to regulatory restrictions in certain jurisdictions, available at https://outletgroup.com/, www.dnb.no/emisjoner, www.seb.no, www.sb1markets.no/transaksjoner and www.norne.no. Hard copies of the Prospectus may be obtained free of charge by contacting one of the Managers (as defined below). In addition, the Prospectus may be obtained at the website of Nordnet (acting as placing agent for the Offering) at the following address: www.nordnet.no.

The Offering comprises an institutional offering, a retail offering in Norway and an employee offering directed towards Eligible Employees (as defined in the Prospectus).

Applications in the retail offering can be made through the websites listed above, or by executing and submitting the application form for the retail offering appended to the Prospectus from commencement of the application period for the retail offering, to one of the Managers. Applications in the employee offering can be made through the VPS online application system by following the link on the Company’s internal intranet, or by executing and submitting the application form for the employee offering appended to the Prospectus from commencement of the application period for the employee offering, to one of the Managers.

Applications in the institutional offering can be made by contacting one of the Managers during the bookbuilding period.

The bookbuilding period for the institutional offering, and the application period for the retail offering and the employee offering, will commence today, 15 September 2026 at 09:00 hours (CEST). The bookbuilding period for the institutional offering will close at 14:00 hours (CEST) on 22 September 2026. The application period for the retail offering and the employee offering will close at 12:00 hours (CEST) on 22 September 2026. The bookbuilding period for the institutional offering and the application period for the retail offering and the employee offering may be extended at any time, but may in no event be extended beyond 14:00 hours (CEST) on 29 September 2026. In the event of an extension of the bookbuilding period and/or the application periods, the allocation date, the payment due dates and the date of the listing may be changed accordingly.
