The societe anonyme under the name "N. VARVERIS - MODA BAGNO S.A." announces for the information of the investment community that, on September 15, 2026, it entered into an agreement with the existing shareholders of the societe anonyme under the name "ESTIA JJC REAL ESTATE DEVELOPMENT S.A." (hereinafter referred to as "Estia"), Cyril-Lucien-Alexandre Bernard and Skopos SAS (interests of Jamil Cherkaoui), with the objective of expanding and strengthening its presence in the tourism and catering sectors.

Based on this agreement, N. VARVERIS - MODA BAGNO S.A. acquired a 75% stake in Estia through its participation in Estia's share capital increase, for a total consideration of Euro 3,925,120, alongside the right to appoint the majority of the members of Estia's Board of Directors.

Estia owns the historic building of the "ESTIA" newspaper in the center of Athens, specifically located at 7 Anthimou Gazi Street. The building is a landmark of central Athens and a designated listed monument. There is an active renovation plan for the property to transform the historic building into a luxury hotel and restaurant, while preserving its character and historical significance. The project will leverage the building's notable architectural features in compliance with relevant regulations and in cooperation with the competent authorities, contributing to the collective upgrading of the area.
