Optomed’s Board of Directors has resolved to establish a new stock option plan
Optomed’s Board of Directors has resolved upon a new option plan. The resolution is based on the authorization granted by the General Meeting of 8 May 2026.
Option plan 2026A:
The total number of options is 613 130 and each option entitles to one share of the Company. The options are offered to the CEO and certain key employees. The purpose of the plan is to retain and incentivize the CEO and other key employees. The share subscription price is EUR 1.52 per share, corresponding to the closing price of the Company’s share on Nasdaq Helsinki on 24 September 2026. The subscription period is 30 September 2029 – 30 September 2032.
The theoretical market value of one option under the plan 2026A is approximately EUR 0.743 per stock option and the theoretical total market value of the plan 2026A is approximately EUR 455,555.59 in total. The theoretical market value of a stock option has been calculated by using the Black & Scholes stock option pricing model with the following input factors: share price EUR 1.52, subscription price EUR 1.52, risk free interest rate 3.9 %, validity of stock options approximately 3.4 years and volatility 65.2 %.
As a condition for receiving stock options under Option Plan 2026A, participants who hold stock options under option series 2022A, 2024A or 2025A must waive such stock options. Therefore, the total number of allocated stock options will not increase.
