OptiGroup today announces the signing of a binding agreement for the sale of its Central and Eastern European paper distribution business to Antalis, a global leader in the distribution of Papers, Packaging and Visual Communication, part of KPP Group.
The transaction represents a significant step for OptiGroup. Over time OptiGroup has evolved from its roots in paper distribution into a broader group with multiple business areas and markets. The sale of Papyrus Central and Eastern Europe supports OptiGroup’s continued strategic development.
The transaction includes the Papyrus operations in Switzerland, Poland, Czech Republic, Slovakia, Hungary, Romania, Lithuania, Latvia, Estonia and Germany, where Antalis intends to combine the business with their subsidiaries in the respective countries. The businesses in Central and Eastern Europe generated approximately €215 million in net sales in FY2025.
Papyrus and Scaldia operations in Netherlands, Belgium and Luxemburg, Sweden, Denmark, Norway and Finland will remain within OptiGroup and will maintain its leading position as a service and solutions provider with strong reputation for its products, brands and services.
"This transaction opens up potentials for both organisations to continue developing and serving their customers successfully. While Papyrus in Central and Eastern Europe enters its next chapter as part of Antalis, OptiGroup will remain committed to develop the Papyrus brand and business in Benelux and the Nordics. Through this transaction OptiGroup continues to build on its strengths and pursue its long-term growth ambitions."
Niklas Berntsson, President and CEO of OptiGroup.
“We are pleased to welcome the team of Papyrus Central and Eastern Europe to Antalis. This acquisition is an important step in strengthening our presence and distribution capabilities across these regions. The combination of our respective customer bases, teams and logistics networks will enable us to further develop our offering and provide even stronger support to our customers in the region.”
Hervé Poncin, Chief Executive Officer of Antalis.
The transaction is subject to customary regulatory approvals and closing conditions. Until completion, both companies will continue to operate independently and there will be no changes to day-to-day operations as a result of the announcement.
Further details regarding timing and completion of the transaction will be communicated in due course.
