OPT: ESERCITATA INTEGRALMENTE L’OPZIONE GREENSHOE

OPT (OPTS:IM), piattaforma specializzata nella progettazione ed erogazione di Servizi Healthcare ad Alto Valore Aggiunto (HHVAS) in ambito clinico -organizzativo, comunica che Integrae SIM S.p.A., in qualità di Global Coordinator, ha esercitato in data odierna integralmente l’opzione greenshoe in aumento di capitale concessa da Sovereign S.r.l.
a Integrae SIM S.p.A. in fase di collocamento delle proprie azioni ordinarie, per complessive n. 287.500 azioni ordinarie.
L’opzione greenshoe rientrava tra gli accordi sottoscritti tra Sovereign S.r.l. e Integrae SIM S.p.A. nell’ambito dell’operazione di IPO. Il prezzo di riferimento delle azioni oggetto dell’opzione greenshoe è pari a Euro 0,70 per azione, corrispondente al prezzo stabilito nell’ambito del collocamento delle azioni ordinarie di OPT, per un controvalore pari a Euro 201.250,00. Il regolamento delle azioni oggetto dell’opzione greenshoe avverrà in data 28 luglio 2026 e per valuta sempre in pari data .
A seguito dell’esercizio dell’opzione greenshoe, il collocamento di OPT ha riguardato complessive n. 2.857.500 azioni, esclusivamente in aumento di capitale, incluse le n. 287.500 azioni rinvenienti dall’esercizio dell’opzione greenshoe, per un ammontare complessivo pari a Euro 2.000.250 e un flottante pari al 3 6,09%.
Sulla base delle informazioni ricevute da Integrae SIM S.p.A. , la Società comunica che, a partire dalla data di quotazione su Euronext Growth Milan, avvenuta il 26 giugno 2026 , fino alla data del presente comunicato, non è stata intrapresa alcuna attività di stabilizzazione da parte di Integrae SIM S.p.A. sulle azioni ordinarie d i OPT.
La Società procederà con la notifica di variazione del capitale sociale presso il registro delle imprese e alla comunicazione al mercato nei termini di legge.

OPT: GREENSHOE OPTION FULLY EXERCISED

OPT (OPTS:IM), a platform specialising in the design and delivery of High Value -Added Healthcare Services (HHVAS) in the clinical and organisational sectors, announces that Integrae SIM S.p.A., acting as Global Coordinator, has today fully exercised the greenshoe option for a capital increase granted by Sovereign S.r.l. to Integrae SIM S.p.A. during the placement of its ordinary shares, for a total of n. 287,500 ordinary shares.
The greenshoe option formed part of the agreements entered into between Sovereign S.r.l. and Integrae SIM S.p.A. as part of the IPO. The reference price of the shares subject to the greenshoe option is Euro 0.70 per share, corresponding to the price set in connection with the placement of OPT’s ordinary shares, for a total value of Euro 201,250.00. Settlement of the shares subject to the greenshoe option will take place on 28 July 2026, with the same value date .
Following the exercise of the greenshoe option, the OPT placement comprised a total of n. 2,857,500 shares, exclusively as part of a capital increase, including the n. 287,500 shares resulting from the exercise of the greenshoe option, for a total amount of Euro 2,000,250 and a free float of 36.09%.
Based on the information received from Integrae SIM S.p.A., the Company announces that, from the date of listing on Euronext Growth Milan, which took place on 26 June 2026, up to the date of this press release, no stabilisation activities have been undertaken by Integrae SIM S.p.A. in relation to OPT’s ordinary shares.
The Company will proceed with the notification of the change in share capital to the companies register and the disclosure to the market in accordance with the law.
