OncoZenge AB (publ) (“OncoZenge” or the “Company”) announced on 10 July 2026 that the Company had received a partial payment of SEK 5.0 million of the subscription proceeds in the directed share issue of approximately SEK 15.1 million to Sichuan Yangtian Bio-Pharmaceutical Co., Ltd (the “Investor”), resolved by the Board of Directors and announced on 5 June 2026 (the “Directed Share Issue”). The partial payment had a subscription price of SEK 6.47 per share enabling the registration of 772,797 shares in the Directed Share Issue, which have now been registered with the Swedish Companies Registration Office.
As a result of the partial registration, the number of shares and votes in the Company has increased by 772,797, from 14,048,068 to 14,820,865. The share capital has increased by SEK 85,866.386891, from SEK 1,560,897.418030 to SEK 1,646,763.804921. The partial registration has resulted in a dilution of approximately 5.2 per cent of the capital and votes for existing shareholders, calculated as the number of newly registered shares divided by the total number of shares in the Company after the partial registration. The newly registered shares will be admitted to trading on Nasdaq First North Growth Market.
The partial registration does not constitute completion of the Directed Share Issue comprising a total of 2,334,823 shares. As previously announced by the Company, the Board of Directors has on several occasions resolved to extend the payment deadline for the Investor’s payment of the remaining subscription proceeds of approximately SEK 10.1 million, most recently to 28 August 2026. Hence, following the partial registration, 1,562,026 shares in the Directed Share Issue remain unregistered.
