Notification of the Appointment of a New Head of Internal Audit

ANNOUNCEMENT

The société anonyme under the corporate name “Xenodocheiakai Touristikai Oikodomikai kai Latomikai Epicheiriseis o Kekrops Anonymos Etaireia” (hereinafter the “Company”), in the context of providing the investing public with accurate, valid and timely information and pursuant to the provisions of paragraph 4.1.1 of the Athens Exchange Rulebook, Article 17(1) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014, and Decision No. 25 (item 6) of the Steering Committee of the Athens Exchange Markets, hereby informs the investing public that, following the relevant recommendation of the Company’s Audit Committee in accordance with Article 15 of Law 4706/2020, the Audit Committee’s Rules of Operation and the Rules of Operation of the Internal Audit Unit, the Company’s Board of Directors, at its meeting held on 2 October 2026, appointed Mr. Charalampos-Ioannis Loumiotis, son of Konstantinos, as the Company’s Internal Auditor / Head of the Internal Audit Unit, replacing Mr. Antonios Koletsas, who has left the Company.

For the sake of completeness, it is noted that Mr. Charalambos-Ioannis Loumiotis meets all the criteria and requirements laid down by the applicable legislative framework (in particular Article 15 of Law 4706/2020), the Company’s Rules of Operation and the Rules of Operation of the Internal Audit Unit. In particular, among other requirements, he will be employed on a full-time and exclusive basis, enjoys personal and functional independence, is not a member of the Board of Directors or a voting member of any standing committee of the Company, has no close ties with any person holding any of the aforementioned positions within the Company, and possesses the appropriate knowledge and relevant professional experience required to assume this position.

More specifically, Mr. Charalampos-Ioannis Loumiotis is an economist, a graduate of the Department of Maritime Studies of the University of Piraeus, and holds an MBA degree.

He possesses the appropriate knowledge and relevant professional experience in internal auditing, as well as experience in the sector in which the Company operates.

He is registered with the Register of Internal Auditors of the Economic Chamber of Greece (ECG) under registration number 001031.

Finally, it is noted that Mr. Charalampos-Ioannis Loumiotis will assume his duties on 5 October 2026.
