Grant of DSP Awards
The Company announces that on 25 August 2026 it granted awards over ordinary shares in the capital of £1.00 each ("Shares") pursuant to the Pinewood Technologies Group Deferred Share Plan ("DSP") to the following PDMRs:-

The awards were granted as conditional awards and align with the Company's shareholder approved Directors' Remuneration Policy and have been implemented in accordance with the provisions of Rule 21.1 of the Takeover Code.
The awards have an associated normal vesting date of the third anniversary of grant subject to the grantee's continued service. In accordance with the rules of the DSP accelerated vesting applies in the event of a change of control. The awards were originally timetabled for grant in late June 2026.
