Notice of Extraordinary General Meeting on 26 August 2026 and update on convertible loan

Oslo, 5 August 2026 – The extraordinary general meeting of NEXT Biometrics Group ASA to, among other things, approve the convertible loans referred to below will be held on 26 August 2026, at 17:00 CEST at the Company's offices at Stortorvet 7, 0155 Oslo, Norway.

Shareholders are encouraged to vote electronically in advance of the meeting or to grant a proxy to the chairperson (or her appointee) rather than attending in person. Votes may be cast at www.nextbiometrics.com/investors/general-meetings/. The deadline for advance voting is 24 August 2026 at 17:00 CEST.

As announced on 31 July 2026, the board of directors has, on behalf of the Company, entered into a convertible loan agreement pursuant to Chapter 11 of the Norwegian Public Limited Liability Companies Act in the amount of NOK 12 million with Valset Invest AS, Edgewater AS, Camaca AS, Cryptic AS, Intelco Concept AS, Ulf Ritsvall, Skaug Holding AS, Camiko AS, and Haas AS. The agreement is conditional upon approval by the general meeting.

On 5 August 2026, the Company entered into an additional convertible loan agreement in the amount of NOK 1 million with Selaco AS and U-Turn Ventures AS on the same terms as announced on 31 July 2026, which is also conditional upon approval by the general meeting. The lenders shall disburse the convertible loans to the Company by 9 August 2026. The convertible loan agreements are enclosed to the notice as Appendix 2.

If the general meeting does not approve the convertible loans, the Company is obligated to repay the disbursed amounts to the lenders without interest.
