Ambea AB ( publ ) (”Ambea”) controls more than 90 per cent of the total number of shares and votes in Humana AB (”Humana”). Ambea has requested that the Board of Directors convene an Extraordinary General Meeting (the “EGM”) to deal with the matters set out in the proposed agenda.
The shareholders of Humana AB are invited to participate in the EGM to be held on 30 October 2026, at 10:00 at Humana’s headquarter at Warfvinges väg 39, 7 floors, Stockholm, Sweden. Admission and registration to the EGM will begin at 09:30.

For shareholders who wish to be represented by proxy, a written and dated power of attorney signed by the shareholder must be issued for the representative. If the shareholder is a legal entity, a copy of certificate of incorporation, or corresponding authorisation document for the legal entity, must be attached. Form of proxy is available on the company’s website, https://www.humanagroup.se/english. In order to facilitate the registration at the EGM, the power of attorney together with any registration certificate or other authorisation documents should be received by the company at the address set out above in connection with the notice of participation.
NOMINEE REGISTERED SHARES
In order to be entitled to participate in the EGM, a shareholder whose shares are registered in the name of a nominee must, in addition to giving notice of its participation in the EGM, register its shares in its own name so that the shareholder is listed in the presentation of the share register as of 22 October 2026. Such registration may be temporary (so-called voting rights registration), and request for such voting rights registration shall be made to the nominee, in accordance with the nominee’s routines, at such a time in advance as decided by the nominee. Voting rights registrations that have been made by the nominee no later than 26 October 2026 will be taken into account in the presentation of the share register.

PROPOSALS
Election of Chairperson of the meeting (item 2)
The Board of Directors has proposed that Anders Nyberg be elected Chairperson of the EGM or, to the extent he is prevented, the person that the Board appoints instead.
Preparation and approval of the voting list (item 3)
The voting list proposed for approval is the voting list drawn up by Euroclear Nordics AB on behalf of the company, based on the EGM’s register of shareholders, shareholders having given notice of participation and being present at the meeting venue, and postal votes received.
Determination of the number of Board members (item 7)
Ambea proposes three (3) ordinary Board members, without deputies.
Resolution on remuneration to the Board members (item 8)
Ambea proposes that no remuneration shall be paid to the Board members.
Election of Board members and Chairperson of the Board (item 9)
Ambea proposes election of Mark Jensen, Benno Eliasson and Johan Regnér as new Board members. Ambea further proposes election of Mark Jensen as new Chairperson of the Board.
Mark Jensen
Mark Jensen, born in 1971, is President and CEO of Ambea and Chairperson of Vårdföretagarna and Svenska Brasserier AB. He previously served as CEO of MTR Nordic Group and, prior to that, held several senior management positions within the Carlsberg Group, including as CEO of Carlsberg Sweden. He has completed internal leadership programmes within Dansk Supermarked and the Carlsberg Group, including “Leading for Results” at London Business School, courses at Aarhus School of Business and reserve officer training at The Army Engineer- and ABC School in Farum, Denmark.
Benno Eliasson
Benno Eliasson, born in 1965, is CFO of Ambea. He previously served as Group CFO of HL Display, CFO of Proffice Group (subsequently Randstad Nordics), Deputy CEO of ATG and CFO of Ikano Bank. He holds a degree in Business Administration and Economics from Linnaeus University.
Johan Regnér
Johan Regnér, born in 1962, is Group Treasurer / Corporate Finance Manager of Ambea. He previously served as acting Global Head of Finance, and Head of Treasury at Enskilda Securities, as well as Financial Risk Controller at Ericsson Radio Systems. He holds a degree in Business Administration and Economics from Örebro University.

Shareholders’ right to receive information
The Board of Directors and the CEO shall, upon any shareholder’s request and if the Board of Directors believes that it can be done without material harm to the company, provide information at the EGM regarding circumstances that may affect the assessment of an item on the agenda.
