NOTICE OF CHANGE IN SHARE CAPITAL
Colleferro ( Rom e), 5 October 2026 – Further to the press release published on 24 September 2026, Avio S.p.A. ( “Avio” or the “Company ”) notifies, pursuant to Article 85 -bis of the Issuers’ Regulations adopted by Consob with resolution n. 11971/1999 , the new composition of the Company ’ share capital (fully subscribed and paid up) , following the subscription by Vantage HYP (Luxembourg) S.à r.l., for no. 3,275,268 newly issued ordinary shares of Avio, at an issue price per share of Euro 33.40, for a total amount of Euro 109,393,951.20 (of which Euro 11,070,405.84 will be allocated to share capital and Euro 98,323,545.36 to share premium ).
The certificat ion relating to the completion of the share capital increase pursuant to Article 2444 of the Italian Civil Code was filed on 2 October 2026 with the Companies ’ Register of Rome, together with the updated By -laws. The new version of the Avio’ s bylaws will be made available to the public in accordance with the terms provided for by applicable regulations.
