Notice of 2026 AGM
Time To ACT plc (AQSE: TTA), the Aquis-listed specialist engineering group, confirms its Annual General Meeting is to be held at LevelQ, Sheraton House, Surtees Business Park, Stockton-on-Tees, TS18 3HR, on 30 September 2026 at 9:00 am. The purpose of the Annual General Meeting is to a) reappoint the directors; b) gain authority to allot shares; c) gain authority to make on market purchases; and d) authorise the dis-application of pre-emption rights.
The Notice of the Annual General Meeting was posted to shareholders on 7 September 2026. A copy of the notice will shortly be available on the Company's website.
Accounts to March 2026
The group continues to progress the sign off on the accounts for the financial year to 31 March 2026, recognising that post balance sheet events have materially transformed the structure, financial performance and strategic direction of the group.
The anticipated final timetable will, as in the prior year, require a separate Annual General Meeting to present and approve these accounts.
Chris Heminway shareholding
Chris Heminway, group Chief Executive & Chief Strategy Officer, most recently held a total of 5,795,810 shares in the Company through a combination of direct investment and his investment company, Hephaestus Cleantech Limited.
As part of an ongoing tax-planning exercise, Mr. Heminway has notified the Company that he has transferred 600,000 of directly held shares to each of his three children. Each of his children has entered into a Relationship Agreement, alongside Mr. Heminway, with the Company and its Corporate Advisor covering various governance issues. The extended family shareholding group should be considered as long-term investors in the Company.
The Company has 21,985,425 shares in issue. As a result of these transactions, Mr. Heminway now holds 3,5791,310 shares (16.3%) directly, 537,500 shares (2.4%) indirectly and the wider shareholding family group continues to own 5,795,810 shares (26.4%).

MTE is a specialist thermal processing and precision engineering business providing heat treatment, induction hardening, gear cutting, grinding and metallurgical processing services for industrial engineering applications.
The business supports customers across sectors including automotive, energy, marine, heavy industry and precision engineering, supplying critical components requiring high levels of dimensional accuracy, durability, wear resistance and process consistency.
MTE combines sealed quench heat treatment capability, induction hardening expertise and precision gear manufacturing with specialist knowledge in distortion control, quenching techniques, metallurgical verification and associated metrology. Its integrated processing model enables customers to access multiple complementary engineering services through a single specialist supplier, combining precision metallurgical control with scalable production capability for both specialist low-volume and higher-throughput industrial applications.
The business operates from its facility in West Yorkshire and provides subcontract engineering services to a broad industrial customer base, supported by in-house laboratory, quality assurance and technical inspection capabilities.
About GreenSpur
GreenSpur is a generator technology and intellectual property company focused on advanced electrical machine systems for renewable energy and industrial power applications.
The company develops scalable axial flux generator technologies designed for implementation across a range of sectors, including wind, marine, distributed energy and other specialist power generation applications. GreenSpur's platform-based approach enables the development of customised generator solutions that are optimised for differing operational, environmental and commercial requirements.
