NOTICE OF A MATERIAL CHANGE IN SIGNIFICANT SHAREHOLDERS PURSUANT TO ART . 17 OF THE
EURONEXT GROWTH MILAN ISSUERS’ REGULATION
Berbenno di Valtellina (SO), September 15, 2026 – Valtecne S.p.A. (ISIN IT0005532525, ticker VLT.IM), a company operating in the field of high -precision mechanics for medical devices and industrial applications (“Valtecne ” or the “ Company ”) – announces, pursuant to art. 17 of the Euronext Growth Milan Issuers’ Regulation, that today it received from the shareholder ValBlue BidCo S.r.l. (“ ValBlue BidCo ”) a notice concerning the exceeding of the significant threshold of 66.6% of Valtecne’s share capital. It should be noted that, on 9 September 2026, ValBlue BidCo acquired from KPM S.r.l., Paolo Mainetti and Vittorio Mainetti an aggregate shareholding representing approximately 81.84% of the Company’s share capital, in connection with and following the comp letion of the investment and share purchase transaction described in greater detail, inter alia, in the press releases issued on 26 June 2026 and 9 September 2026 , thereby coming to hold a total of no. 5,050,700 shares in the Company, representing 82.67% of its share capital.
ValBlue BidCo is a limited liability company incorporated under Italian law, with registered office in Milan, and ultimately controlled by G Square Capital IV, L.P., a limited partnership incorporated under English law, with registered office in London.
Pursuant to art. 26 of the Euronext Growth Milan Issuers’ Regulation, the Company announces that, based on the latest information available to it, its shareholding structure is as follows:
