14 September 2026 - North Investment Group AB (publ) (the “Company”) announces that it has entered into a standstill and voting agreement (the “Standstill Agreement”) with holders representing more than 66 2/3 per cent. of the adjusted nominal amount of its outstanding senior secured floating rate bonds with ISIN SE0015938493 (the “Bonds” and such holders, the “Participating Bondholders”). Furthermore, today, the newly appointed board of directors of the Company resolved to apply for delisting of the Bonds from Nasdaq Stockholm.
Pursuant to the Standstill Agreement, the Participating Bondholders have undertaken, during the standstill period, not to take or support any action in relation to the proposed delisting and to support and vote in favour of a future written procedure to permanently waive or remove the listing undertaking under the terms and conditions of the Bonds.
The standstill period will end when the proposed waiver or amendment becomes effective or upon the occurrence of another termination event under the Standstill Agreement. The purpose of the proposed delisting is to enable constructive discussions and the exchange of information between the Company, the holders of the Bonds and other stakeholders to continue without the Bonds remaining listed.
As part of the Company’s ongoing restructuring, a debt-to-equity swap was completed in 2025, pursuant to which a portion of the outstanding amount under the Bonds was converted into preference shares in the Company. In August 2026, those preference shares were converted into ordinary shares, resulting in the holders of the Bonds collectively holding approximately 95 per cent. of the shares in the Company.
The Company expects the restructuring process to continue as it evaluates further measures to address its financial position and long-term capital structure.
At an extraordinary general meeting in the Company held on 9 September 2026, a new board of directors was elected. Today, the newly appointed board resolved to apply for delisting of the Bonds from Nasdaq Stockholm. The last day of trading of the Bonds is expected to occur no later than 17 September 2026.
The Company intends to submit the delisting application to Nasdaq Stockholm as soon as practicable. The last day of trading in the Bonds will be announced once confirmed by Nasdaq Stockholm. There can be no assurance as to the outcome or timing of the restructuring discussions.
