Norsk Titanium AS: Final results of the Subsequent Offering and allocation of Offer Shares

Oslo, Norway, 24 July 2026: Reference is made to the stock exchange announcement by Norsk Titanium AS (the "Company") on 9 July 2026 regarding the commencement of the subscription period (the "Subscription Period") in the subsequent offering of up to 45,000,000 new shares (the "Offer Shares") at a subscription price of NOK 1.00 per share (the "Subsequent Offering"). The Subscription Period expired on 23 July 2026 at 16:30 hours (CEST).

The final results show that the Company has received valid subscriptions for a total of 12,055,995 Offer Shares.

The Company's board of directors has today approved the proposed allocation presented by the Managers (as defined below) and resolved the issuance of 12,055,995 Offer Shares pursuant to the authorization to increase the Company's share capital granted by the Company's extraordinary general meeting held on 2 July 2026, and in accordance with the allocation criteria set out in the national prospectus dated 7 July 2026 and the subscription form published in connection with the Subsequent Offering. The Company will consequently raise approx. NOK 12 million in gross proceeds through the Subsequent Offering.

Investors that are allocated Offer Shares can access information on the number of Offer Shares allocated through VPS. The due date for payment of the Offer Shares is on 28 July 2026.

Subject to duly and timely payment of the Offer Shares, the share capital increase is expected to be registered in the Norwegian Register of Business Enterprises on or about 31 July 2026 and will be delivered to the VPS accounts of the subscribers shortly thereafter, expected on or about 3 August 2026. A separate announcement will be made when the share capital increase has been registered. The Offer Shares will have equal rights and rank pari passu with the Company's other shares.
