Reference is made to the stock exchange announcement made by Nordic Halibut AS (the "Company" or "Nordic Halibut") on 23 June 2026 regarding completion of the Company's acquisition of 100% of the shares in Thule Marine AS ("Thule Marine") and Gulbygget AS.
Nordic Halibut and Thule Marine have entered into a merger plan (the "Merger Plan") for a simplified parent-subsidiary merger of Thule Marine into Nordic Halibut (the "Merger"), to be carried out pursuant to section 13-23 of the Norwegian Private Limited Liability Companies Act (the "NPLCA").
Pursuant to the Merger Plan, all assets, rights and obligations of Thule Marine will be transferred to Nordic Halibut without any consideration, and Thule Marine will be dissolved. Completion is expected during Q4 2026, subject to expiry of the statutory creditor notice period and the other conditions set out in the Merger Plan.
The purpose of the Merger is to simplify and streamline the group structure. Prior to the Merger, a separate intra-group merger between Thule Marine (as the acquiring company) and its wholly-owned subsidiary Tjeldbergodden Rensefisk AS will be completed.
The latest annual accounts, annual reports and auditors' reports for Nordic Halibut are available to shareholders on the Company's website. The latest annual accounts, annual reports and auditors' reports for Thule Marine are available to shareholders at the offices of Nordic Halibut. Each shareholder may request that the documents are submitted to him/her free of charge.
The Merger Plan is attached to this announcement and will be sent to Nordic Halibut's shareholders electronically through the VPS and made available on the Company's website, in accordance with section 13-23 (2) no. 3 of the NPLCA.
