NOBA Bank Group AB (publ) calls for early redemption of its Additional Tier 1 notes NO0011134462 and subordinated Tier 2 notes NO0011134470

NOBA Bank Group AB (publ) (“NOBA” or the “Company”) will, in accordance with the terms and conditions of the notes, use its right to on 29 October 2026 early redeem its Additional Tier 1 notes in an amount of SEK 1,400,000,000 with ISIN NO0011134462 issued on 29 October 2021, as well as its Subordinated Tier 2 notes in an amount of SEK 650,000,000 with ISIN NO0011134470 issued on 29 October 2021 (both referred to as the “Notes”). The Notes were originally issued by Nordax Holding AB (publ) but, following its merger into the Company on 1 July 2024, the Company became the issuer and assumed all obligations and liabilities in respect of the Notes.

The Notes will be redeemed in full at 100 per cent of their nominal amount, together with accrued but unpaid interest up to and including the redemption date.

The redemption date is 29 October 2026. Pursuant to the terms and conditions of the Notes, the payment will be made to registered holders in the debt register kept by Euronext Securities Oslo on the record date 27 October 2026 (at the end of the business day). In connection with the redemption the Notes will be delisted from Nasdaq Stockholm.

Pursuant to the terms and conditions of the Notes, NOBA will send an irrevocable notice of early redemption to registered holders of the Notes in the debt register kept by Euronext Securities Oslo. The notice will also be published on the Company’s website, www.noba.bank.

The Swedish Financial Supervisory Authority’s approval for the early redemption of the Notes has been obtained.
