New Director co -opted General meeting of shareholders called to transact ordinary and extraordinary business
At a Board meeting held today, the Directors of Mediobanca adopted a resolution, subject to obtaining a positive suitability assessment from the supervisory authorities in advanc e, plus the favourable opinion of the Statutory Audit Committee, to co -opt Ms Pasquina D’Onofrio as non -
independent Director.
A general meeting of shareholders was also called to take place on 29 October 2026, to transact ordinary and extraordinary business in respect of the following items :
As ordinary business, regarding an addition to be made to the Board of Directors through the appointment of a new member;
As extraordinary business, regarding the Merger by amalgamation of Mediobanca S.p.A.
into Banca Monte dei Paschi di Siena S.p.A.
The documentation for the general meeting – including the illustrative report on the only item on the Agenda as extraordinary business, the merger plan, and additional documentation required under Article 70 of the Regulations for Issuers adopted by Consob under resolution no.
11971 of 14 May 1999 – will be made available, by 29 September 2026, at the Company's registered office and on websites www.emarketstorage.it and www.mediobanca.com (section Governance/General Meetings/General Meeting 29 October 2026).
