Netel Holding AB (publ) ("Netel" or the "Company") announced on 17 July 2026 that the Board of Directors, subject to subsequent approval by the general meeting, had resolved on a rights issue of up to 36,383,904 shares at a subscription price of SEK 3.50 per share, corresponding to issue proceeds of approximately SEK 127 million (the "Rights Issue"), and proposed that the extraordinary general meeting resolve on overallotment issues in the form of two directed share issues of up to 21,428,571 shares, corresponding to issue proceeds of up to approximately SEK 75 million (the "Overallotment Issue") (the Rights Issue together with the Overallotment Issue are referred to as the "New Issues"). The New Issues were approved by shareholders at the extraordinary general meeting held on 21 August 2026. Netel today announces that an information document relating to the Rights Issue has been prepared and registered with the Swedish Financial Supervisory Authority (the "Information Document") and is available on the Company's website, netelgroup.com. The Information Document will also be made available on DNB Carnegie's website, www.dnbcarnegie.se.
In light of the Rights Issue, the Company has prepared the Information Document in accordance with Article 1.4 db of Regulation (EU) 2017/1129 of the European Parliament and of the Council (the "Prospectus Regulation"). The Information Document has been prepared in accordance with the requirements of Annex IX of the Prospectus Regulation. The Information Document does not constitute a prospectus within the meaning of the Prospectus Regulation, and the Swedish Financial Supervisory Authority, as the competent authority under the Prospectus Regulation, has neither reviewed nor approved the Information Document.
