Netel Holding AB (publ) publishes a supplement to the prospectus in connection with the company's contemplated issue of senior secured bonds

Netel Holding AB (publ) ("Netel" or the "Company") has, in connection with the announcement that the Company has mandated Arctic Securities AS, filial i Sverige, SB1 Markets, filial i Sverige, and Skandinaviska Enskilda Banken AB (publ) (the "Arrangers") to explore the possibility of issuing senior secured bonds denominated in SEK, prepared a supplement (the "Supplemental Prospectus") to the prospectus that was approved by the Swedish Financial Supervisory Authority and published on 17 July 2026 (the "Prospectus"). The Supplemental Prospectus has today been approved and registered by the Swedish Financial Supervisory Authority.

The Prospectus was prepared in connection with the proposed statutory merger between Netel and Infrea AB (the "Merger") and the admission to trading on Nasdaq Stockholm of the shares in Netel to be issued as consideration in the Merger. The Supplemental Prospectus has been prepared in connection with the Company's announcement on 21 September 2026 that the Company has mandated the Arrangers to explore the possibility of issuing senior secured floating rate bonds with a tenor of four (4) years and with an expected initial issue amount of SEK 950 million, within a framework of SEK 1,500 million.

No offer of securities to the public is being made and, accordingly, the right of withdrawal under Article 23.2 of the Prospectus Regulation does not apply.
