Nes Fircroft Bondco AS – Satisfaction of conditional call

We refer to the announcement published 12 August 2026 regarding the exercise of NES Fircroft Bondco AS' call option to redeem all outstanding bonds under its senior secured bond issue (with ISIN NO0013333419).

The exercise of the call option was conditional on Bond Trustee having received a conditions precedent confirmation letter for disbursement of funds under NES Fircroft Bondco AS' new senior secured callable bond issue with ISIN NO0013757880.

We are pleased confirm that the condition has been satisfied and that all outstanding bonds will be redeemed as set out in announcement published 14 August 2026. The entire bond issue will be repaid at a price equal to 104.50245 per cent. of the Nominal Amount for each redeemed bond (plus accrued and unpaid interest on the redeemed amount), with record date on 17 August 2026 and settlement date 19 August 2026.
