NAKIKI SE acquires stake in ecrop – digital securities become part of everyday capital markets

The 9.749% stake in ecrop GmbH announced in an ad hoc disclosure this morning is the first step in a strategic partnership – ecrop’s OmniOmni platform has already been used in five electronic securities issuances – NAKIKI provides access to issuers, banks and stock exchanges.
Frankfurt am Main/Amberg, 29 September 2026 – Listed company NAKIKI SE (ISIN DE000WNDL300) has acquired a 9.749% stake in ecrop GmbH, based in Amberg. ecrop has developed OmniOmni, a software platform covering the entire lifecycle of digital securities – from preparing an issuance and onboarding investors to anti-money laundering checks, subscription and ongoing administration. NAKIKI brings capital markets experience and direct access to issuers, banks, stock exchanges and investors. The investment marks the beginning of closer cooperation: the two companies intend to jointly advance sales, financing and market access.
Since Germany’s Electronic Securities Act (eWpG) came into force in June 2021, bonds and other securities can be issued in Germany without a paper certificate. In practice, the challenge in digital issuance is rarely the law itself, but the process: investor registration, identification, compliance checks, register entries and ongoing administration are spread across numerous service providers and systems. This is where ecrop comes in: one platform instead of many separate solutions.
OmniOmni has a modular structure, allowing customers to use its components individually or in combination: OmniAsset for the issuance, registration, transfer and administration of digital securities; OmniApp as an investor application; OmniPersona for identification and approvals; OmniEagle for compliance and anti-money laundering checks; and OmniBoss for administration, roles and permissions. Issuers and financial institutions can thus integrate precisely the modules they need. The provider of each regulated service depends on the specific operating model.
With OmniSafe, ecrop adds software for key management and technical custody processes for digital assets such as Bitcoin. Custody services requiring a licence are provided by licensed customers or partners. NAKIKI does not hold cryptoassets in custody for third parties as a result of either the investment or the cooperation.
The technology is more than a concept: it has been tested in the market. Five electronic securities issuances are documented on ecrop’s website, including two corporate bonds issued by Donaustahl GmbH.
