MS UAE Completion Accounts

Issue of Equity
MHA (AIM: MHA), a leading professional services provider of audit and assurance, tax, accountancy and advisory services, announces the finalisation of completion accounts in connection with the Company’s acquisition of MS UAE, which completed in April 2026. Accordingly, the final balancing payment due to the vendors of MS UAE, reflecting net cash and working capital adjustments has now been made, comprising 1.20m AED in cash (approximately £245k) and the issue of 160,073 new ordinary shares of 1p each in the Company.
All share consideration paid to the vendors of MS UAE is subject to lock-in and clawback arrangements consistent with those applied to MHA Partners on Admission to AIM.
Application has been made for the 160,073 new Ordinary Shares to be admitted to trading on AIM ("Admission"), which is expected to occur on 28 September 2026. Following Admission, the Company will have 287,059,568 ordinary shares of 1p each in issue. The Company holds no shares in treasury. The total voting rights in the Company following Admission will therefore be 287,059,568. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
