Xer Tech Holding AB (publ) (“Xer Tech Holding” or the "Company”) hereby announces that the Company has received information that Monarch Marine Holding Ltd. (“Monarch”) has completed the divestment of Monarch’s entire holding in Xer Tech Holding through a distribution in kind to primarily its shareholders. Monarch’s lock-up undertaking has been assumed in full by those who have received shares through the distribution in kind.
On 13 July 2026, Xer Tech Holding announced that the Company had received information that Monarch, the Company’s second largest shareholder, had resolved on a distribution in kind of its entire holding in Xer Tech Holding, conditional upon approval from the Swedish Inspectorate for Strategic Products (“ISP”) under the Foreign Direct Investment Act. ISP has now approved the share transfer and Monarch has divested its entire holding of 14,378,000 shares (corresponding to approximately 24.5 per cent of the shares and votes in the Company) through a distribution in kind of shares in Xer Tech Holding, primarily to its shareholders. Accordingly, Monarch no longer holds any shares in the Company. Through the distribution in kind, Cresta Group Ltd., that prior to the distribution in kind did not hold any shares in the Company, has received 6,560,351 shares (corresponding to approximately 11.2 per cent of the shares and votes in the Company) and has thereby exceeded the 10 per cent threshold for major shareholding notifications. Riton Holding Ltd., that prior to the distribution in kind did not hold any shares in the Company, has received 3,673,687 shares (corresponding to approximately 6.3 per cent of the shares and votes in the Company) and has thereby exceeded the 5 per cent threshold for major shareholding notifications.
All who have received shares in Xer Tech Holding through Monarchs distribution in kind have assumed the lock-up undertaking that Monarch entered into in connection with the reverse takeover.
