Valencia, 25 settembre 2026 Il Consiglio di Amministrazione di Riba Mundo Tecnología S.A. (la "Società" o "Riba Mundo") – società tecnologica specializzata in Big Data attiva nel segmento B2B dell'elettronica di consumo, con sede a Valencia (Spagna) e quotata sul mercato Euronext Growth Milan – si è riunito in data odierna e ha deliberato sui seguenti punti:

Modifica del calendario eventi societari e aggiornamento approvazione Bilancio 2025 Il Consiglio di Amministrazione comunica la modifica del calendario eventi societari 2026 posticipando l’approvazione della Relazione semestrale 2026 a data da destinarsi.

Inoltre, la Società informa di aver ricevuto una nuova comunicazione da parte della società di revisore BDO Auditores SLP ("BDO") di ulteriore ritardo nel completamento delle attività di audit sul bilancio di esercizio 2025, per motivi non imputabili a Riba Mundo e riscontrabili nell’avvio tardivo dell’audit (cfr comunicato stampa del 25 giugno 2026 e 7 agosto 2026) e nelle maggiori tempistiche legate alla maggiore complessità del primo incarico.

La Società comunicherà tempestivamente al mercato aggiornamenti relativi alla nuova data di approvazione del Bilancio

Presentazione Procedura di Ristrutturazione del Debito La Società comunica che, in data odierna, ha presentato al Tribunale di Valencia la comunicazione di apertura delle trattative con i creditori prevista dall'articolo 585 e seguenti del Decreto Reale Legislativo 1/2020, del 5 maggio, che approva il testo riformulato della Legge Fallimentare ai sensi del diritto spagnolo, a causa di una temporanea esigenza di cassa non riconducibile all’andamento della gestione ordinaria, ma principalmente al ritardo nella riscossione di crediti tributari maturati a partire da gennaio 2025, per un importo complessivo di circa 6,1 milioni di euro . The Debt Restructuring Procedure was presented today

Valencia, September 25 2026 Riba Mundo Tecnología S.A. , (the "Company" or "Riba Mundo" ) - tech company specialising in Big Data active in the B2B segment of consumer electronics, based in Valencia (Spain) and listed on the Euronext Growth Milan market – met today and resolved on the following items:

Amendment to the Corporate Events Calendar and Update on the Approval of the 2025 Financial Statements The Board of Directors announces an amendment to the 2026 Corporate Events Calendar, postponing the approval of the half-yearly financial report 2026 to a date to be determined.

Furthermore, the Company reports that it has received a new notice from the auditing firm BDO Auditores SLP (“BDO”) regarding a further delay in the completion of the audit of the 2025 financial statements, for reasons not attributable to Riba Mundo and attributable to the late start of the audit (see press releases dated June 25, 2026, and August 7, 2026) and the extended timeframe required due to the greater complexity of the initial engagement.

Presentation of the Debt Restructuring Procedure The Company announces that, as of today, it has filed with the Court of Valencia the notice of commencement of negotiations with creditors provided for in Article 585 et seq. of Royal Legislative Decree 1/2020, dated May 5, which approves the revised text of the Bankruptcy Law under Spanish law, due to a temporary cash flow need not attributable to the course of ordinary operations, but primarily to the delay in the collection of tax receivables accrued as of January 2025, for a total amount of approximately 6.1 million euros. The new procedure will allow the Company to continue its business operations as usual and, at the same time, to begin negotiations with creditors aimed at establishing a new
