UPDATE TO THE COMPOSITION OF BOARD COMMITTEES
The Board of Directors of MFE –MEDIAFOREUROPE N.V., meeting today, in accordance with the resolution adopted on 19 June 2024 and the provisions of the respective Committee Regulations, has approved the following new composition of the Board committees:
1. Audit and Sustainability Committee o Chair: Patrizia Arienti o Members: Stefania Bariatti, Marina Brogi, Javier Díez de Polanco
2. Nomination and Remuneration Committee o Chair: Giulio Gallazzi o Members: Consuelo Crespo Bofill, Alessandra Piccinino
The above Committees are composed entirely of Non -Executive Directors qualified as independent and will remain in office until the expiry of the term of the current Board of Directors and, therefore, until the Shareholders’ Meeting called to approve the fi nancial statements for the year ended 31 December 2026.
The changes do not affect the duties or the functioning of the Committees. The provisions of the respective Committee Regulations, available on the Company’s website a t MEDIAFOREUROPE - Corporate Bodies , therefore remain confirmed.

AGGIORNAMENTO DELLA COMPOSIZIONE DEI COMITATI
ENDOCONSILIARI
Il Consiglio di Amministrazione di MFE -MEDIAFOREUROPE N.V., riunitosi in data odierna , in conformità a quanto deliberato il 19 giugno 2024 e alle previsioni dei rispettivi Regolamenti, ha approvato la seguente nuova composizione dei Comitati endo consiliari :
Audit and Sustainability Committee o Presidente: Patrizia Arienti o Membri: Stefania Bariatti, Marina Brogi, Javier Díez de Polanco
Nomination and Remuneration Committee o Presidente: Giulio Gallazzi o Membri: Consuelo Crespo Bofill, Alessandra Piccinino
I suddetti Comitati sono composti interamente da Amministratori Non Esecutivi qualificati come indipendenti e resteranno in carica fino alla scadenza del mandato dell’attuale Consiglio di Amministrazione e, pertanto, fino all’Assemblea convocata per l’appr ovazione del bilancio relativo all’esercizio chiuso al 31 dicembre 2026 .
Le modifiche non incidono sulle attribuzioni né sul funzionamento dei Comitati. Restano pertanto confermate le previsioni dei rispettivi Regolamenti disponibili sul sito internet della Società
