(“Metriks” or the “Company”), an AI Data Company owning the Metriks Suite ecosystem that integrates data, AI Agents, and human expertise to support companies and professionals in their growth journey, announces that today the merger deed for the incorporation of its wholly-owned subsidiaries APPARE S.r.l. (“Appare”) and FCONN S.r.l. (“FCONN”) into the Company was signed before Notary Antonio D'Amico in Milan.
The transaction, approved by the respective shareholders' meetings on April 28, 2026, based on the merger project drafted on January 29, 2026, constitutes a merger by incorporation of wholly-owned companies and is completed according to the simplified procedure under Article 2505 of the Italian Civil Code. APPARE and FCONN are indeed both wholly owned by Metriks.
As this is a merger by incorporation of wholly-owned companies, no exchange ratio or cash adjustment is foreseen, and there will be no increase in the Company's share capital or issuance of new shares, pursuant to Articles 2504-ter and 2505 of the Italian Civil Code. The shares representing the entire capital of the incorporated companies will be cancelled effective from the merger's effective date.
Pursuant to Article 2504-bis of the Italian Civil Code, the legal effects of the merger will take effect from the last day of the month in which the last of the registrations required by Article 2504 of the Italian Civil Code is completed, while the accounting and tax effects are retroactive to January 1, 2026. The legal deadlines for creditors' objections under Article 2503 of the Italian Civil Code have also fully expired, without any creditor having filed an objection to the merger.
As a result of the merger, the Company will, by full right and without interruption, assume all active and passive legal relationships previously held by the incorporated companies APPARE and FCONN.
The merger, as an intra-group reorganization operation, does not involve any amendment to the articles of association of the acquiring company and is part of a broader process of rationalization and simplification of the Group's corporate structure, aimed at achieving operational and management synergies, eliminating cost and structural duplications, and making business oversight more efficient.
The documentation relating to the transaction is made available to the public in the terms and manner provided for by current legislation and the Euronext Growth Milan Issuers' Regulation.
