Mandatum establishes a new share-based long-term incentive scheme and launches its first plan covering 2026–2029

The Board of Directors of Mandatum plc has resolved to establish a new share-based long-term incentive scheme for the Group Management Team (including the CEO) and selected key employees. The purpose of the long-term incentive scheme is to align the objectives of key employees with those of the shareholders in order to maximise the company’s shareholder value in the long term, to commit key employees to implementing the company’s strategy and to reward them for excellent performance.
The scheme consists of annually commencing plans, each including a three-year earning period. The Board of Directors of Mandatum plc will decide separately on the commencement of each individual plan. The earning period of the first plan will commence in August 2026, and the total number of participants is approximately 45. Members of the Board of Directors of Mandatum plc are not eligible to participate in the plan.
The maximum number of incentive units for the 2026–2029 earning period is 3,070,000. Value of the incentive unit is based on the share price development of Mandatum plc share. The total vesting value will be formed based on the combination of the total number of incentive units and the difference between the end value and the starting price formed as described below. The starting price and theoretical market value for the plan will be made available at the company’s website (https://www.mandatum.fi/en/group/governance/remuneration/long-term-incentive-schemes/) in the week commencing on 28 September 2026.
The value of the starting price shall be determined according to the trade volume-weighted average price of Mandatum plc share on Nasdaq Helsinki Ltd for twenty-five (25) trading days commencing on the trading day immediately following the date of the Board of Director’s decision to launch the plan. Additionally, for the purposes of calculating the reward, the starting price is adjusted by deducting the aggregate amount of Mandatum plc dividends per share resolved up to the payment date. The end value shall be determined according to the trade volume-weighted average price of Mandatum plc’s share on Nasdaq Helsinki Ltd for twenty-five (25) trading days commencing the day after the publication of its Half-Year Financial Report in 2029, but not more than EUR 11.00 (the maximum value). In addition, any potential rewards payable under the plan are subject to a threshold condition regarding Mandatum Group’s fee result.
The reward will be paid in cash after the earning period. Payment of the reward is, as a rule, conditional upon the participant’s employment relationship being in force at the time of payment. As a rule, participants (including the CEO and Group Management Team) subject to deferral rule as defined in Mandatum Group’s Remuneration policies are mandated to purchase Mandatum plc’s shares with the portion subject to deferral as defined in Remuneration policies after deduction of taxes.
