$50,000 Loan and Related Party Transaction
Trellus Health plc (AIM: TRLS), a healthcare company delivering Trellus Elevate®, a digital platform that integrates data analytics with personalised, scientifically proven resilience programmes and value-based solutions to manage complex chronic conditions, announces that the Company's US operating subsidiary Trellus Health Inc. has entered into an unsecured loan agreement with certain members of the Group's executive management team with a principal amount of US$50,000 (the "Loan"). The Loan includes a US$20,000 participation by Dr. Marla Dubinsky, Chief Executive Officer and Co-Founder. Further to the Company's announcement of 31 July 2026 and following agreement of the Loan, the Board confirms that the Company's cash runway has now been extended to late August 2026.
The Board also updates that discussions with a prospective purchaser regarding the acquisition of certain of the Company's assets, including the shares in Trellus Health Inc., which had reached an advanced stage, have now been discontinued. The Board, in conjunction with its corporate restructuring advisers, is in earlier stage discussions with other potentially interested parties regarding a potential sale of these assets. There can be no certainty that any transaction will be concluded or further funding will be forthcoming nor as to the terms thereon. The Board also continues to take action to protect wider stakeholders' interests.
Loan terms
Interest on the Loan, which is unsecured, will accrue at an annual rate of 5% with effect from the date of first drawdown, payable on maturity of the Loan, which falls due for repayment on the earlier of (i) the close of a transaction related to Trellus Health Inc.; or (ii) 24 September 2026.
Related Party Transaction
The Loan is deemed to be a related party transaction under AIM Rule 13 of the AIM Rules for Companies as Dr. Marla Dubinsky is a director of the Company. The Company's independent directors consider, having consulted with the Company's Nominated Adviser, Singer Capital Markets, that the terms of the related party transaction are fair and reasonable insofar as the shareholders of the Company are concerned. Dr. Marla Dubinsky did not take part in the Board's consideration of the related party transaction, given her participation in the Loan.
The Company's ordinary shares remain suspended from trading on AIM since 8 May 2026 due to the ongoing uncertainty regarding the Company's financial position.
