AVVIO PROGRAMMA ACQUISTO AZIONI PROPRIE
Milano, 5 ottobre 2026 – A2A S.p.A. (la “ Società ”) comunica l’avvio di un programma di acquisto di azioni ordinarie proprie (il “ Programma ”) in forza della delibera dell’Assemblea ordinaria dei Soci assunta lo scorso 28 aprile 2026.
Si forniscono di seguito, ai sensi dell’articolo 144- bis, terzo comma, del Reg. Consob n.
11971/99 (“ Regolamento Emittenti ”), i dettagli del programma di acquisto (la “ Delibera Assembleare ”).
Obiettivi del Programma Il Programma approvato dal Consiglio di Amministrazione persegue le finalità di cui alla Delibera Assembleare che ha autorizzato, sempre nel rispetto della parità di trattamento degli Azionisti e della normativa vigente in materia, l’acquisto di azioni proprie per (i) dotare la Società della provvista azionaria necessaria a dare attuazione al piano di azionariato diffuso 2025-2027 denominato “A2A LIFE Sharing” e al piano di incentivazione a lungo termine per il triennio 2026-2028 denominato “LTI 2026-2028” (insieme i “ Piani ”); e (ii) perseguire finalità di gestione corrente (ivi incluso l’investimento e la gestione della liquidità) e progetti industriali coerenti con le linee strategiche che la Società intende perseguire in relazione ai quali si concretizzi l’opportunità di scambi azionari.
Quantitativo massimo di azioni del Programma Il numero massimo di azioni proprie complessivamente detenibili in forza della sopra richiamata Delibera Assembleare è fissato in 313.290.527, pari alla decima parte delle azioni rappresentative del capitale sociale. Si precisa che attualmente A2A detiene n. 1.894.072 azioni proprie, pari a circa lo 0,0605% del capitale sociale della Società.
Il numero massimo di azioni acquistabili in esecuzione del Programma è stato fissato in 5.679.346, pari a circa lo 0,18% del capitale sociale della Società.
Tenuto conto del prezzo di chiusura del titolo A2A alla data del 2 ottobre 2026 presso il mercato Euronext Milan organizzato e gestito da Borsa Italiana S.p.A., pari a 2,245 euro, il
2 potenziale esborso connesso all’esecuzione del Programma è stimato in circa 12,8 milioni di euro.
Durata del Programma L’autorizzazione all’acquisto e alla disposizione di azioni proprie non potrà essere superiore a diciotto mesi a far data dalla Delibera Assembleare.
In considerazione dell’assenza di vincoli normativi, l’autorizzazione alla disposizione delle azioni proprie che saranno acquistate con la sola finalità di servire i Piani non prevede limiti temporali.
Modalità di acquisto L’acquisto delle azioni dovrà essere effettuato, in conformità a quanto previsto dall’art. 132 del decreto legislativo 58/1998 e successive modificazioni, dall’art. 144- bis del Regolamento Emittenti e da ogni altra norma comunitaria e nazionale applicabile nella Borsa di quotazione - tra le quali il Regolamento e le Istruzioni della Borsa Italiana S.p.A. - con le modalità operative consentite dalla vigente normativa e approvate dalla summenzionata delibera assembleare della Società e quindi, ai sensi dell’articolo 144- bis, comma 1, lett. b) del Regolamento Emittenti, sui mercati regolamentati secondo le modalità operative stabilite nei regolamenti di organizzazione e gestione dei mercati stessi. Dette modalità operative non potranno consentire l’abbinamento diretto delle proposte di negoziazione in acquisto con predeterminate proposte di negoziazione in vendita e gli acquisti dovranno essere effettuati ad un prezzo non superiore del 5% e non inferiore del 5% rispetto al prezzo di riferimento registrato dal titolo nella seduta del mercato Euronext Milan (“Euronext”), organizzato e gestito da Borsa Italiana S.p.A., precedente ogni singola operazione. Detti parametri vengono ritenuti adeguati al fine di individuare l’intervallo di valori entro il quale l’acquisto è di interesse per la Società.
Gli atti dispositivi, ed in particolare di vendita, delle azioni proprie acquistate in base all’autorizzazione assembleare potranno essere effettuati: (i) mediante operazioni in denaro, ed in tal caso le vendite saranno effettuate sul mercato Euronext e/o su sistemi multilaterali di negoziazione ad un prezzo non superiore del 5% e non inferiore del 5% rispetto al prezzo di riferimento registrato dal titolo nella seduta del mercato Euronext precedente ogni singola operazione; ovvero, senza limiti di prezzo, nelle seguenti ipotesi: (ii) mediante operazioni di scambio, permuta, conferimento o altro atto di disposizione (ivi incluse, a titolo esemplificativo, assegnazioni ai dipendenti, distribuzioni di dividendi in azioni), nell’ambito di progetti industriali, operazioni di finanza straordinaria o di gestione della liquidità; (iii) al
3 fine di consentire l’utilizzo delle azioni proprie per operazioni di permuta o conferimento o anche al servizio di operazioni di carattere straordinario sul capitale od operazioni di finanziamento che implichino l’assegnazione o disposizione di azioni proprie (ad esempio, al servizio di strumenti finanziari scambiabili in azioni, obbligazioni convertibili, bond o warrant); nonché (iv) per costituire la provvista azionaria da destinarsi al servizio della realizzazione dei Piani.
Per l’effettuazione delle operazioni di acquisto delle azioni proprie la Società si avvarrà di un intermediario finanziario che opererà in piena indipendenza, secondo criteri predeterminati per quanto riguarda le date e i volumi degli acquisti.
La Società comunicherà al mercato e alle autorità competenti i dettagli delle operazioni effettuate con le modalità e tempistiche previste dalla vigente normativa.
Il Programma potrà essere attuato parzialmente e/o revocato in qualsiasi momento, salve le dovute comunicazioni al pubblico.

LAUNCH OF THE SHARE BUYBACK PROGRAMME
Milan, 5 October 2026 – A2A S.p.A. (the “ Company ”) announces the start of an ordinary share buyback programme (the “ Programme ”), pursuant to the resolution of the Company’s ordinary shareholders’ meeting held on 28 April 2026 (the “ Shareholder Resolution ”).
The details of the buyback Programme are outlined hereunder, in accordance with Article 144-bis, third paragraph, of the CONSOB Resolution No. 11971/99 (“ Issuer Regulations ”).
Programme objectives
The Programme approved by the Board of Directors is aimed to achieve the purposes of the Shareholder Resolution which authorized – while ensuring equal treatment of shareholders and in compliance with the current legislation – the purchase of treasury shares for the following purposes: (i) to provide the Company with the necessary shares to implement the 2025-2027 employee share ownership plan, named “ A2A Life Sharing” and the 2026-2028 long-term incentive plan called “LTI 2026-2028” (the “Plans ”); (ii) to pursue ordinary management objectives (including investment and liquidity management) and industrial projects aligned with the strategic guideline the Company intends to pursue, in relation to which opportunities for share exchanges may arise.
Maximum number of shares of the Programme The maximum number of own shares that may be held pursuant to the above-mentioned Shareholder Resolution is set at 313,290,527, which is equal to one-tenth of the shares forming the corporate capital. It is noted that A2A currently holds 1,894,072 ordinary shares A2A, equal to 0.0605% of the Company’s share capital.
The maximum number of shares that may be purchased pursuant to the Programme has been set at 5,679,346, approximately equal to 0.18% of the Company’s share capital.
Considering the closing price of A2A’s shares on October 2nd, 2026 on Euronext Milan market organized and managed by Borsa Italiana S.p.A., equal to 2.245 euros, the potential disbursement related to the execution of the Program is estimated at approximately 12.8 million euros.
2 Term of the Programme The authorization for the purchase and disposal of own shares may not extend beyond 18 months from the date of the Shareholder Resolution.
In absence of regulatory constraints, the authorization to dispose of the own shares that will be purchased for the purpose of serving the Plans does not provide for time limits.
Means for purchase The purchase of the shares shall be carried out, in compliance with the provisions of Article 132 of Legislative Decree No. 58/1998 and subsequent modifications, Article 144-bis of the Issuer Regulations, and any other EU or national law or regulation applicable to the securities exchange on which the shares are traded - including the Borsa Italiana S.p.A.
regulations and instructions -, in accordance with the operating procedures established by applicable laws and regulations and approved by the above-mentioned shareholders' meeting of the Company, and therefore, pursuant to Article 144-bis, paragraph 1, letter b) of the Issuer Regulations, on regulated markets in accordance with the operating procedures established by the regulations for the organization and management of the markets. Such operating procedures shall not allow the direct matching of trading proposals for purchase with predetermined trading proposal for sale, and purchases shall be made at a price no higher than five percent 5% and no lower than five percent 5% of the reference price recorded by the share in the trading session of the Euronext market Milan (“Euronext”), organized and managed by Borsa Italiana S.p.A preceding each transaction. Said parameters are deemed suitable for identifying the interval of values within which the purchase is in the interest of the Company.
The transactions to dispose the shares acquired on the basis of the shareholder authorization, and in particular for the sale of such shares, may be carried out: (i) by means of cash transactions, and in this case the sales must be carried out on Euronext market and/or multilateral trading systems, at a price not higher than 5% and not lower than 5% compared to the reference price recorded by the share in session of the Euronext market preceding each transaction; or, without any price limit, in the following cases: (ii) by means of exchange, swap, contribution or other act of disposition (including, without limitation, allocations to employees, distributions of dividends in shares), as part of industrial projects, extraordinary finance transactions or liquidity management; (iii) to allow the use of treasury shares for swap or contribution transactions or also for the purpose of extraordinary capital transactions or financing transactions involving the allocation or disposition of treasury shares (e.g., financial instruments exchangeable into shares, convertible bonds, bonds or
3 warrants); as well as (iv) to provide the Company with the necessary shares to implement the Plans.
In carrying out the share buyback transactions, the Company appointed a financial intermediary which will operate in full independence, according to predetermined criteria regarding the date and volume of purchases.
The Company shall communicate the details of the transactions effected to the market and to the appropriate regulatory authorities, in accordance with the terms and conditions contemplated by applicable laws and regulations.
The Programme may be partially executed and/or revoked at any time, subject to the public disclosures required thereof.
