Oslo, 21 August 2026: With reference to the authorisation granted by the annual general meeting of Komplett ASA ("Komplett" or the "Company") on 6 May 2026, authorising the board of directors (the "Board") to acquire the Company's own shares, Komplett is launching a non-discretionary share buy-back programme in order to acquire up to 2,000,000 shares, equivalent to 1.14 per cent of Komplett's shares in issue, for a maximum aggregate amount of NOK 18 million (the "Buy-back Programme").
The sole purpose of the Buy-back Programme is to facilitate the future exercise of options under the Company's Long-Term Incentive (LTI) programme. Any shares acquired by the Company will be held in treasury until used for the aforementioned purpose.
Komplett has appointed Skandinaviska Enskilda Banken AB ("SEB") for the repurchase of the Company's shares. SEB will manage the programme and make its own trading decisions independently of, and uninfluenced by, Komplett.
The Buy-back Programme will commence on 21 August 2026 and continue until the maximum number of shares as set out above has been acquired or 31 December 2026 at the latest.
Komplett will publicly announce information about the transactions relating to the Buy-back Programme, in a detailed form and in an aggregate form, no later than by the end of the seventh trading day following the execution of such transactions. The share Buy-back Programme will be carried out in accordance with Regulation (EU) No 596/2014 (the "Market Abuse Regulation") and Commission Delegated Regulation (EU) 2016/1052 (the "Safe Harbour Regulation").
Komplett currently has a total of 175,341,161 shares in issue, and holds no shares in treasury prior to the Buy-back Programme.
The Company reserves the right to make subsequent changes to the above terms for the Buy-back Programme and will in such case make appropriate announcements in this respect.
