Geneva, Switzerland, 30 September 2026 - Verisure plc (“Verisure” or the “Company”) today announces the issuance of 2,281,997 new shares in the Company (approximately 0.2% of current share capital) in connection with the upcoming vesting of the previously announced IPO Transition Awards.
As was disclosed in the IPO Prospectus, in connection with the Company’s listing on Nasdaq Stockholm in October 2025, and as approved at the General Meeting held on 7 October 2025, the Company granted one-off IPO Transition Awards to a broad base of employees in the form of Restricted Share Units under the Verisure plc Global Long Term Incentive Plan (the “LTIP”). The first tranche of such IPO Transition Awards will vest on 30 October 2026.
Our Board of Directors has today resolved to issue 2,281,997 new shares, each with a nominal value of EUR 0.001. The share issue will be effected in two tranches, with 2,069,270 new shares to be issued on 30 September 2026 and 212,727 new shares to be issued on or shortly after 3 November 2026. The new shares will be issued solely for the purpose of delivering shares to participants following the vesting of IPO Transition Awards. The shares to be delivered to the participants in respect of the vested IPO Transition Awards will partly be sourced by the share issue and partly by shares already held by Verisure’s Employee Benefit Trust (the “EBT”). A total of approximately 5.3 million shares will be delivered to participants on 30 October 2026.
The shares will be issued at a subscription price corresponding to the nominal value of EUR 0.001 per share, pursuant to the authorisation granted by the General Meeting held on 7 October 2025.
Upon completion of the issuance of all 2,281,997 new shares, the total number of issued shares and votes in the Company will amount to 1,036,244,261, and the total issued share capital will amount to EUR 1,036,244.261. The new shares represent approximately 0.2 percent of the total number of issued shares and votes in the Company immediately prior to the Board’s resolution.
The Board also resolved to request that the EBT purchase shares from the participants to enable the fulfilment of tax obligations arising in connection with the vesting of the IPO Transition Awards.
